This Purchase Order is issued by Pacific Crest Digital Solutions, LLC to Creative Pixel Web Design Studio for the engagement of a qualified Web Designer to deliver comprehensive website design, development, and optimization services. The Web Designer shall perform all work in accordance with the specifications outlined below and in full compliance with applicable United States federal and California state regulations governing digital services, intellectual property, and contractor engagements. 2. Project Timeline: The Web Designer shall complete all deliverables within 45 calendar days from the date of this Purchase Order acceptance. Milestone deadlines shall be communicated in a separate project schedule document.
3. Payment Schedule: 30% upon Purchase Order acceptance, 40% upon completion of design and development phases, and 30% upon final deployment and acceptance. All payments shall be made via ACH transfer to the vendor's designated United States bank account.
4. Intellectual Property: Upon full payment, all work product, source code, design files, and associated intellectual property created by the Web Designer shall become the sole property of Pacific Crest Digital Solutions, LLC. The Web Designer retains the right to display completed work in their professional portfolio with prior written consent from the Buyer.
5. Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business data accessed during the course of this engagement in the United States Los Angeles area. This obligation survives termination of this Purchase Order for a period of three (3) years.
6. Compliance: The Web Designer warrants that all deliverables shall comply with the Americans with Disabilities Act (ADA) Section 508 standards, the Web Content Accessibility Guidelines (WCAG 2.1 Level AA), and all applicable United States federal and California state laws.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination at the rates specified herein.

9. Independent Contractor: The Web Designer is engaged as an independent contractor and not as an employee of the Buyer. The Web Designer is solely responsible for all applicable federal, state, and local taxes, including self-employment tax, Social Security, and Medicare contributions.
