1. This Purchase Order constitutes a binding agreement between South Florida Digital Ventures, LLC and Creative Pixel Studio (Web Designer Division) for the professional web design services described herein. All work shall be performed in accordance with the scope defined in this document and any mutually agreed-upon change orders.
2. The Web Designer shall maintain all source files, design assets, and project documentation in a secure cloud repository accessible to the Purchasing Company. Upon final payment, full intellectual property rights for all deliverables shall transfer to South Florida Digital Ventures, LLC.
3. Payment shall be made via ACH transfer to the bank account designated by the Web Designer. Invoices must reference this Purchase Order number (PO-2025-MIA-00472) for proper accounting reconciliation.
4. The Web Designer agrees to comply with all applicable federal, state (Florida), and local regulations governing professional services in the United States Miami area, including but not limited to data privacy standards under the Florida Information Protection Act (FIPA).
5. Any scope changes exceeding 10% of the original Purchase Order value require a written amendment signed by both parties. The Web Designer shall submit a revised estimate prior to commencing any additional work.
6. The Web Designer warrants that all deliverables shall be free from material defects for a period of ninety (90) days following final acceptance. Defects identified within this warranty period shall be corrected at no additional charge.
7. This Purchase Order is governed by the laws of the State of Florida. Any disputes arising from this agreement shall be resolved through binding arbitration in Miami-Dade County, United States Miami, in accordance with the rules of the American Arbitration Association.
8. The Web Designer shall carry professional liability insurance with a minimum coverage of $1,000,000 per occurrence and shall provide a certificate of insurance upon request.
