Scope of Services — Web Designer EngagementThis Purchase Order is issued by Meridian Digital Holdings, LLC to engage the services of a qualified Web Designer operating within the jurisdiction of United States New York City for the comprehensive design, development, and deployment of a corporate e-commerce platform. - Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York and the municipal codes of United States New York City. Any disputes arising from this Purchase Order shall be resolved in the courts of New York County, New York City.
- Web Designer Obligations: The Web Designer shall perform all services with professional skill, care, and diligence consistent with industry standards in the United States New York City digital design market. The Web Designer warrants that all deliverables shall be original work and shall not infringe upon any third-party intellectual property rights.
- Payment Schedule: Payment shall be made in three (3) installments: 30% upon execution of this Purchase Order, 40% upon completion of front-end development (Item 002), and 30% upon final acceptance of all deliverables. All payments shall be made via ACH transfer to the Web Designer's designated bank account in the United States.
- Intellectual Property: Upon full and final payment, all intellectual property rights in the website design, code, and related materials shall transfer exclusively to Meridian Digital Holdings, LLC. The Web Designer retains the right to display the completed work in a professional portfolio, subject to the buyer's written approval.
- Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with NYC Regulations: The Web Designer acknowledges and agrees to comply with all applicable United States New York City regulations, including but not limited to the New York City Administrative Code, the New York State Technology Law (SHIELD Act), and all federal data protection requirements. The Web Designer shall maintain valid professional liability insurance with a minimum coverage of $1,000,000 per occurrence.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination. The Web Designer shall deliver all work-in-progress materials to the buyer within five (5) business days of termination.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the United States New York City metropolitan area.
- Acceptance: The buyer shall have ten (10) business days from the date of delivery to inspect and accept or reject each deliverable. Failure to provide written notice of rejection within this period shall constitute acceptance.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Web Designer services rendered in United States New York City.
