6.1 This Purchase Order constitutes a binding agreement between the parties upon signature. All services described herein shall be performed by the designated Web Designer or their directly supervised team members operating from the United States San Francisco metropolitan area.
6.2 Payment shall be made via ACH transfer or certified check to the account specified by the supplier. Invoices are due within thirty (30) days of receipt. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with California Commercial Code Section 2304.
6.3 The Web Designer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the duration of this Purchase Order. Proof of insurance shall be provided prior to the commencement of work.
6.4 All intellectual property, source code, design files, and documentation created under this Purchase Order shall become the sole property of the buyer upon full payment. The Web Designer retains the right to display completed work in their professional portfolio with prior written consent from the buyer.
6.5 Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of early termination, the buyer shall pay for all services rendered up to the termination date, as documented by the Web Designer's time and deliverable logs.
6.6 This agreement shall be governed by and construed in accordance with the laws of the State of California, United States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in United States San Francisco, in accordance with the rules of the American Arbitration Association.
6.7 The Web Designer warrants that all deliverables shall be free from material defects, shall conform to the specifications outlined in this Purchase Order, and shall not infringe upon any third-party intellectual property rights. The warranty period for design and development work is ninety (90) days from the date of final acceptance.
6.8 The supplier shall comply with all applicable United States federal, California state, and San Francisco municipal laws, including but not limited to the California Consumer Privacy Act (CCPA), the Americans with Disabilities Act (ADA) as it pertains to web accessibility, and all relevant tax obligations.
