The Web Designer shall be responsible for the complete design, development, and deployment of a corporate website and associated digital assets for the buyer's operations in Venezuela Caracas. The scope of work encompasses the following deliverables, which the Web Designer must complete in accordance with the specifications outlined in this Purchase Order:

1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Web Designer (Ríos Creative Web Studio) within five (5) business days of the issue date. The Web Designer must sign and return a copy of this Purchase Order to Caracas Digital Solutions C.A. in Venezuela Caracas.
2. Scope Adherence: The Web Designer shall perform all services strictly within the scope defined in this Purchase Order. Any additional work or scope changes must be documented in a formal Change Order signed by both parties before execution.
3. Timeline: The Web Designer shall adhere to the project milestones outlined in the attached Schedule of Work. The final deliverable must be completed and deployed no later than August 15, 2025. Delays exceeding ten (10) business days without written justification may result in a penalty of 2% of the total contract value per week of delay.
4. Payment Schedule: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon approval of the UI/UX design phase, and 30% upon final acceptance and deployment. All payments shall be processed in USD via bank transfer to the account designated by the Web Designer, in compliance with the Central Bank of Venezuela (BCV) foreign exchange regulations.
5. Intellectual Property: Upon full payment, all intellectual property rights, including but not limited to source code, design files, graphics, and documentation created by the Web Designer for this project, shall be transferred exclusively to Caracas Digital Solutions C.A. The Web Designer retains the right to display the completed work in a professional portfolio.
6. Confidentiality: The Web Designer agrees to maintain strict confidentiality regarding all proprietary information, business strategies, and data accessed during the course of this engagement in Venezuela Caracas. This obligation survives the termination of this Purchase Order for a period of three (3) years.
7. Compliance: The Web Designer warrants that all services rendered shall comply with applicable Venezuelan laws, including but not limited to the Ley de Protección de Datos Personales, the Ley de Comercio Electrónico, and all regulations issued by the Superintendencia Nacional para la Defensa de los Derechos Digitales (SUNDD).
8. Warranty: The Web Designer provides a ninety (90) day warranty on all deliverables from the date of final acceptance. Any defects, bugs, or non-conformities discovered within this period shall be corrected by the Web Designer at no additional cost to the buyer.
9. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Web Designer shall be compensated for all work completed and documented up to the termination date, and all deliverables in progress shall be handed over to the buyer.
10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Bolivarian Republic of Venezuela.
