This Purchase Order is issued by Saigon Digital Ventures Co., Ltd. to Creative Pixel Studio LLC for the engagement of a qualified Web Designer to deliver comprehensive web design and development services. The Web Designer shall be based in and operate out of Vietnam Ho Chi Minh City, ensuring local market knowledge, cultural relevance, and proximity to the client's primary operations. The scope of work encompasses the full design, prototyping, development, and deployment of a responsive corporate website, including but not limited to the following deliverables:

All payments shall be made via bank transfer to the supplier's account registered in Vietnam Ho Chi Minh City. The supplier shall provide a valid Vietnamese tax invoice (Hóa đơn) for each payment tranche in accordance with the regulations of the Vietnam Ho Chi Minh City Department of Taxation.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the provision of Web Designer services as described herein. All work shall be performed by a dedicated Web Designer or team of Web Designer professionals physically located in Vietnam Ho Chi Minh City.
2. The Web Designer shall adhere to all applicable Vietnamese labor laws, data protection regulations, and intellectual property statutes in force in Vietnam Ho Chi Minh City and the Socialist Republic of Vietnam.
3. All source code, design files, brand assets, and intellectual property created under this Purchase Order shall be the exclusive property of the Buyer upon full payment. The Web Designer retains no rights to reuse, resell, or disclose the deliverables.
4. The Web Designer shall provide weekly progress reports and shall be available for in-person meetings at the Buyer's office in Vietnam Ho Chi Minh City at least twice per week during active development phases.
5. Any changes to the scope of work beyond the original specification must be approved in writing via a Change Order amendment to this Purchase Order before additional work commences.
6. The Web Designer shall maintain professional liability insurance with a minimum coverage of USD 100,000, valid throughout the project duration in Vietnam Ho Chi Minh City.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, client data, and proprietary materials exchanged during the engagement. This obligation survives the termination of this Purchase Order for a period of three (3) years.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City.
9. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Vietnam Ho Chi Minh City.
10. This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. The venue for any legal proceedings shall be the competent court in Vietnam Ho Chi Minh City.
