Payment Method: Irrevocable Letter of Credit (LC) at sight, issued by a scheduled bank in Bangladesh Dhaka, in favor of the Seller. All bank charges on the buyer's side shall be borne by the Buyer.
TERMS AND CONDITIONS- This Purchase Order is governed by the laws of the People's Republic of Bangladesh and the United Nations Convention on Contracts for the International Sale of Goods (CISG).
- All Welder units supplied under this Purchase Order must carry a minimum 24-month manufacturer's warranty from the date of delivery in Bangladesh Dhaka. Warranty coverage includes defects in materials, workmanship, and electronic components.
- The Seller warrants that all Welder equipment is new, unused, and free from any encumbrance. The equipment must comply with IEC 60974-1 standards and be certified for use in tropical and humid conditions prevalent in Bangladesh Dhaka.
- Delivery delays exceeding 10 working days beyond the agreed date shall entitle the Buyer to a penalty of 0.5% of the total Purchase Order value per week of delay, capped at 5% of the total value.
- The Buyer reserves the right to inspect all Welder units upon arrival at the Bangladesh Dhaka warehouse. Any unit found damaged, defective, or non-conforming to the specifications listed in this Purchase Order shall be rejected and replaced at the Seller's sole cost within 30 days.
- The Seller shall provide complete technical documentation, operation manuals in English and Bengali, wiring diagrams, and a 4-hour on-site training session for the Buyer's Welder operators at the Bangladesh Dhaka facility.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government sanctions, port strikes in Chittagong or Bangladesh Dhaka, or other events beyond reasonable control.
- Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Bangladesh Arbitration Council, seated in Dhaka, Bangladesh. The language of arbitration shall be English.
- This Purchase Order becomes effective upon signature by both parties and remains valid until 15 August 2025, unless extended in writing by mutual agreement.
- All communications regarding this Purchase Order shall be directed to the designated contact persons listed above. Email confirmations shall be considered valid for all operational matters.
The Buyer requires that all Welder units be pre-configured for 220V/50Hz single-phase and 415V/50Hz three-phase power supply as standard in Bangladesh Dhaka industrial infrastructure. Voltage stabilizers must be included for units operating in areas with frequent power fluctuations. The Seller acknowledges that the primary operational environment for these Welder units will be the industrial and construction zones of Bangladesh Dhaka, where ambient temperatures range from 20°C to 42°C with humidity levels exceeding 80% during monsoon season. All electrical components must be rated accordingly.
