The Seller warrants that all Welder equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation in Brasília, Brazil. During the warranty period, the Seller shall provide:

• Remote technical support via phone and email within 24 hours of a reported issue.
• On-site repair or replacement of defective Welder components within 15 business days, with a qualified technician dispatched to the Brasília – DF facility.
• Supply of genuine spare parts at no additional cost for the duration of the warranty.
• Annual preventive maintenance visits to the Brasília facility, including inspection, calibration, and performance testing of all Welder units.

• This Purchase Order is governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration in São Paulo, Brazil, under the rules of CAM-ARB (Arbitration and Mediation Center of the FIESP/CIESP).
• The Seller shall not subcontract any portion of the manufacturing or delivery of the Welder equipment without prior written consent from the Buyer.
• Time is of the essence. Failure to deliver the Welder equipment by the required delivery date shall entitle the Buyer to liquidated damages of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
