All Welder equipment listed in this Purchase Order shall be delivered to the buyer's facility at 2450 Dufferin Street, Canada Toronto, Ontario, within thirty (30) calendar days from the date of this Purchase Order acceptance. The seller is responsible for all freight, insurance, and handling charges associated with the transportation of the Welder units from the supplier's warehouse in the Canada Toronto metropolitan area to the designated receiving dock at the buyer's premises.

Upon delivery, the seller's certified technicians shall perform full installation of each Welder unit, including electrical connection to the facility's 480V 3-phase power supply, grounding verification per Canadian Electrical Code Section 10, and initial calibration. The installation and training service (Item #7) shall be scheduled within five (5) business days of equipment delivery and shall be conducted on-site in Canada Toronto.

  • Payment Schedule: 40% deposit due upon Purchase Order acceptance; 50% due upon confirmed delivery of all Welder equipment to the Canada Toronto site; 10% due upon successful completion of installation, calibration, and operator training.
  • Payment Method: Electronic funds transfer (EFT) to the seller's designated business account. Remittance shall be made in Canadian Dollars (CAD).
  • Due Date: All invoices are payable within thirty (30) days of the invoice date. Late payments shall accrue interest at 1.5% per month as permitted under the Ontario Sale of Goods Act.
  • Warranty: All Welder units carry a minimum two-year manufacturer's warranty covering parts and labour. The fume extraction system carries a three-year warranty. Warranty service shall be provided at no additional cost within the Canada Toronto and Greater Toronto Area (GTA) region.

The seller warrants that all Welder equipment supplied under this Purchase Order shall meet or exceed the following standards and regulatory requirements applicable in Canada Toronto and the Province of Ontario:

  • Canadian Electrical Code (CEC), 2024 Edition, Part 10 – Welding and Cutting.
  • CSA C22.2 No. 107 – Safety Standard for Arc Welding Equipment.
  • Ontario Occupational Health and Safety Act (OHSA) – Workplace Safety and Insurance Corporation (WSIB) compliance for all Welder operations.
  • Canadian Environmental Protection Act (CEPA) – Emissions and fume management requirements for industrial Welder use.
  • CSA certification marks affixed to all electrical components of each Welder unit.
Note: The buyer reserves the right to inspect all Welder equipment upon arrival at the Canada Toronto facility. Any unit found to be non-compliant with the specifications outlined in this Purchase Order shall be rejected and replaced at the seller's sole expense within ten (10) business days.
  • This Purchase Order constitutes a binding agreement between the buyer and seller upon written acceptance by both parties. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
  • The seller shall maintain adequate product liability insurance with a minimum coverage of $5,000,000 CAD for the duration of this Purchase Order and the warranty period.
  • Force majeure events, including but not limited to natural disasters, government-mandated shutdowns in Canada Toronto, or supply chain disruptions beyond the seller's reasonable control, may extend delivery timelines by a mutually agreed period not exceeding fifteen (15) additional business days.
  • Disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto, Ontario, in accordance with the rules of the Ontario Arbitration Association. If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.
  • All intellectual property, proprietary designs, and technical documentation associated with the Welder equipment remain the property of the seller. The buyer is granted a non-exclusive, non-transferable licence to use the equipment for its intended industrial welding purposes at its Canada Toronto facility.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the supply, delivery, installation, and warranty of the Welder equipment described herein for use in Canada Toronto, Ontario, Canada.
