The Supplier shall deliver all Welder equipment and associated accessories to the Buyer's facility in Egypt Cairo no later than 45 calendar days from the date of this Purchase Order. Delivery shall be made DDP (Delivered Duty Paid) to the specified address in the 10th of Ramadan City industrial zone, Egypt Cairo. The Supplier is responsible for all international freight, export documentation, Egyptian customs clearance, import duties, and last-mile transport within Egypt Cairo. Upon arrival, the Supplier's certified technicians shall perform on-site installation, electrical connection (380V/3-phase, 50Hz as per Egypt Cairo grid standards), and full commissioning of each Welder unit. A minimum of five (5) days of hands-on operator training shall be conducted at the Egypt Cairo facility prior to handover.
- 30% Advance Payment: USD 81,192.00 due within 10 business days of Purchase Order acceptance, via irrevocable Letter of Credit issued by a bank in Egypt Cairo.
- 50% on Shipment: USD 135,320.00 payable upon presentation of Bill of Lading, Certificate of Origin, and Packing List confirming dispatch of the Welder equipment.
- 20% on Completion: USD 54,128.00 payable within 15 business days after successful installation, commissioning, and acceptance of all Welder units at the Egypt Cairo site, confirmed by a signed Acceptance Certificate.
All Welder equipment supplied under this Purchase Order shall carry a minimum 24-month warranty from the date of commissioning at the Egypt Cairo facility. The Supplier guarantees that each Welder unit shall conform to ISO 9001:2015 quality management standards, IEC 60974 safety requirements for welding equipment, and all applicable Egyptian regulatory codes. The Supplier shall provide a full warranty service network accessible within Egypt Cairo, ensuring that any defective Welder component is repaired or replaced within 72 hours of a service request. Spare parts for a minimum of ten (10) years shall be made available to the Buyer at cost price.
Important Note: All Welder equipment must be accompanied by Arabic and English bilingual user manuals, safety data sheets, and Egyptian conformity certificates. The Supplier acknowledges that the end-use location is Egypt Cairo and that all documentation must be prepared in accordance with Egyptian import regulations.- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon written acceptance by both parties.
- Any modification to the scope, quantity, or specifications of the Welder equipment must be documented in a formal amendment to this Purchase Order, signed by authorized representatives of both parties.
- The Supplier shall not subcontract any portion of the delivery, installation, or training obligations without prior written consent from the Buyer.
- In the event of a dispute arising from this Purchase Order, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA) in Egypt Cairo.
- Governing law: The laws of the Arab Republic of Egypt shall govern this Purchase Order and any related transactions.
- The Supplier shall maintain comprehensive marine and transit insurance covering the full value of the Welder equipment from the point of origin until delivery at the Egypt Cairo facility.
By signing below, both parties acknowledge and agree to all terms, conditions, specifications, and obligations set forth in this Purchase Order for the procurement of Welder equipment for use in Egypt Cairo. This document, together with all attached schedules and technical specifications, forms the complete and exclusive agreement between the parties with respect to the subject matter herein.
