Delivery is required no later than 31 July 2025. The Welder units and all associated accessories must be transported in accordance with German road transport regulations (StVO) and must be insured for the full value stated in this Purchase Order during transit to Germany Munich. The supplier shall provide a delivery note and a certificate of conformity (Konformitätserklärung) for each Welder unit, confirming compliance with the EU Machinery Directive 2006/42/EC and the German Product Safety Act (ProdSG).
4. Payment TermsPayment for this Purchase Order shall be made as follows:
- 30% advance payment (EUR 19,213.74) due within 10 business days of the date of this Purchase Order.
- 60% upon delivery and acceptance (EUR 38,427.48) payable within 30 days of the delivery date at the Germany Munich site.
- 10% retention (EUR 6,404.58) payable within 60 days of successful commissioning and completion of the operator training programme for the Welder equipment.
All payments shall be made via bank transfer (SEPA) to the supplier's account as detailed on the invoice. The buyer reserves the right to withhold payment if the Welder equipment does not meet the specifications outlined in this Purchase Order or fails to comply with the applicable German and European regulatory requirements for welding equipment used in Germany Munich.
5. Terms and Conditions- This Purchase Order constitutes a binding agreement between the parties upon signature by both the buyer and the seller. All terms are governed by the laws of the Federal Republic of Germany, with the city of Munich, Germany Munich, as the exclusive place of jurisdiction.
- The Welder equipment supplied under this Purchase Order shall carry a minimum manufacturer's warranty of 24 months from the date of delivery to Germany Munich. The warranty covers all parts and labour for defects in materials and workmanship.
- The supplier guarantees that all Welder units are new, unused, and of the latest production model. No refurbished or second-hand Welder equipment shall be accepted under this Purchase Order.
- Any deviation from the specifications stated in this Purchase Order must be approved in writing by the buyer's procurement department prior to shipment. Unauthorised substitutions of Welder components or accessories will result in rejection of the delivery at the Germany Munich site.
- The supplier shall provide a comprehensive operation and maintenance manual in both German and English for each Welder unit, along with all necessary technical drawings and electrical schematics required for installation in the Germany Munich workshop.
- In the event of a delay in delivery exceeding 14 calendar days beyond the agreed date, the buyer shall be entitled to a penalty of 0.5% of the total Purchase Order value per week of delay, up to a maximum of 10%. If the delay exceeds 30 days, the buyer may cancel this Purchase Order in its entirety without penalty.
- All Welder equipment must be CE-marked and bear the appropriate German safety certifications. The supplier shall provide all documentation necessary for the buyer to register the Welder units with the relevant German trade authority (Gewerbeaufsichtsamt) in Munich.
- Force majeure events, including but not limited to natural disasters, war, or government-imposed restrictions affecting operations in Germany Munich or the supplier's country of origin, shall relieve the affected party from performance obligations for the duration of the event, provided written notice is given within 5 business days.
- This Purchase Order may not be assigned or transferred by either party without the prior written consent of the other party.
