This Purchase Order is issued by Mumbai Industrial Fabrication Pvt. Ltd. for the procurement of industrial-grade Welder units and associated consumables. The Seller shall deliver all Welder equipment and consumables to the Buyer's premises at MIDC Industrial Area, Andheri East, India Mumbai – 400093, within twenty-one (21) calendar days from the date of this Purchase Order. Delivery shall be made between 09:00 and 17:00 IST on weekdays. The Seller is responsible for all packaging, loading, and transportation costs within the Mumbai metropolitan area. Each Welder unit must be individually crated with anti-vibration padding to prevent transit damage. A delivery challan bearing the Purchase Order number must accompany every consignment.
Payment against this Purchase Order shall be made as follows: 30% advance (₹14,17,128) within five (5) working days of order confirmation via NEFT/RTGS to the Seller's designated bank account in Mumbai. The remaining 70% balance (₹33,06,632) shall be paid within fifteen (15) days of successful delivery, installation, and acceptance of all Welder units at the India Mumbai site. All payments shall be processed in Indian Rupees (INR) through the banking system of India. The Seller shall issue a valid GST tax invoice for each payment tranche.
All Welder machines supplied under this Purchase Order must carry a minimum two-year comprehensive warranty covering parts and labour, valid throughout India. Each unit must be BIS-certified and carry the ISI mark. The Seller warrants that all equipment is new, unused, and free from manufacturing defects. The Welder units must be compatible with the 415V/50Hz three-phase power supply standard prevalent in India Mumbai industrial areas. The Seller shall provide a detailed operation and maintenance manual in English for each Welder model. In the event of any non-conformity, the Buyer reserves the right to reject the shipment and demand a full replacement or refund within ten (10) working days of inspection.
The Seller shall provide on-site installation of all Welder units at the Buyer's India Mumbai facility at no additional cost. A certified technician from the Seller's team shall be present during installation to ensure proper electrical connections, grounding, and operational calibration. Furthermore, the Seller shall conduct a four-hour hands-on training session for the Buyer's welding operators covering safe operation, routine maintenance, and troubleshooting of the Welder equipment. Training materials in English shall be provided to all participating personnel.
7.1 This Purchase Order is governed by the laws of the Republic of India. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, Maharashtra, India.
7.2 The Seller shall not subcontract any part of the delivery or installation without prior written consent from the Buyer.
7.3 In the event of force majeure (including but not limited to natural disasters, government-imposed lockdowns in India Mumbai, or port closures), either party may extend the delivery timeline by mutual written agreement.
7.4 The Buyer reserves the right to modify the quantity of Welder items by up to 10% without reissuing a new Purchase Order, provided written notice is given at least seven (7) days before the scheduled delivery date.
7.5 All intellectual property, trademarks, and brand names associated with the Welder equipment remain the sole property of the Seller. The Buyer's use of the equipment is strictly for internal industrial fabrication purposes at the India Mumbai site.
7.6 Late delivery beyond the stipulated 21-day window shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 5% of the total value.
By signing below, both parties acknowledge and agree to all terms, conditions, specifications, and pricing outlined in this Purchase Order for the procurement of Welder equipment for use in India Mumbai. This document constitutes a binding commercial agreement between the Buyer and the Seller from the date of the last signature.
