Required Delivery Date: No later than 28 July 2025.
Delivery Window: Monday to Thursday, 08:00–16:00 local time (Israel Standard Time, UTC+3).
Incoterms: DDP 2020 – all customs clearance, import duties, and Israeli VAT shall be handled by the Seller.

The Seller is responsible for arranging all freight, insurance, and customs brokerage required to bring the Welder into Israel Jerusalem. All packaging must be suitable for the climate conditions in Israel Jerusalem, including protection against high summer temperatures and dust. Each Welder unit must be individually crated with desiccant packs and anti-vibration foam to prevent transit damage.

• 40% Advance Payment: EUR 25,206.58 – due within 7 business days of acceptance of this Purchase Order.
• 50% on Shipment: EUR 31,508.22 – due upon presentation of Bill of Lading and Certificate of Origin.
• 10% on Acceptance: EUR 6,301.64 – due within 14 days after successful installation, commissioning, and acceptance of the Welder at the Israel Jerusalem facility.

All payments shall be made via international wire transfer (SWIFT) to the Seller's designated bank account. Late payments shall accrue interest at a rate of 1.5% per month. The Buyer reserves the right to withhold the final 10% payment if the Welder fails to meet the specifications outlined in this Purchase Order or if any component is found defective during the 90-day warranty inspection period.

The Welder supplied under this Purchase Order must satisfy the following requirements:

• Rated output: 400A continuous, suitable for structural steel, stainless steel, and aluminum welding.
• Input voltage: 3-phase, 400V ± 10%, 50Hz – compatible with the Israel Jerusalem industrial power grid.
• Certifications: CE, ISO 9001:2015, and SII (Standards Institution of Israel) compliance documentation must accompany each Welder unit.
• Operating temperature range: 0°C to 45°C, with adequate ventilation for use in enclosed workshop environments typical of Israel Jerusalem industrial zones.

• This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties.
• Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
• The Seller warrants that the Welder and all accessories are new, unused, and free from liens or encumbrances.
• Force majeure events, including but not limited to natural disasters, war, or government-imposed trade restrictions affecting the import of industrial equipment into Israel Jerusalem, shall be addressed through mutual negotiation.
• Governing Law: This Purchase Order shall be governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG). Disputes shall be resolved by arbitration in Munich, Germany, under the rules of the DIS (German Arbitration Institute).
• The Seller shall provide a comprehensive operator's manual in both English and Hebrew for the Welder, along with a quick-reference safety guide formatted for posting in the Israel Jerusalem workshop.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the supply of the Welder to Israel Jerusalem.
