- Acceptance: This Purchase Order (PO-JK-2025-04871) constitutes a binding offer to purchase the Welder equipment and associated services listed above. The Supplier shall confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Delivery: All items must be delivered to the KyoForge Manufacturing Plant in Japan Kyoto no later than August 15, 2025. Delivery shall be made DDP (Delivered Duty Paid) to the specified receiving bay in Japan Kyoto. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10%.
- Quality and Compliance: The Welder units must comply with Japanese Industrial Standards (JIS C 1001), IEC 60974-1, and all applicable electrical safety regulations in Japan. The Supplier shall provide full documentation, including test certificates, user manuals in Japanese and English, and warranty certificates, prior to delivery in Japan Kyoto.
- Inspection and Acceptance: Upon arrival at the Japan Kyoto facility, the Buyer's engineering team shall conduct a 72-hour operational inspection of each Welder unit. Any defects, non-conformities, or missing components identified during this period shall be remedied by the Supplier at no additional cost within fourteen (14) days.
- Payment: Payment of the full Purchase Order amount of JPY 14,362,000 shall be made via bank transfer within forty-five (45) days of the Buyer's written acceptance of the Welder equipment at the Japan Kyoto site. The Supplier shall issue a commercial invoice referencing this Purchase Order number.
- Warranty: The Supplier warrants that all Welder equipment shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance in Japan Kyoto. The 24-month maintenance package (Item 007) is included and shall be performed at the Japan Kyoto facility.
- Intellectual Property: All proprietary designs, firmware, and technical specifications associated with the Welder units remain the intellectual property of the Supplier. The Buyer is granted a non-exclusive, non-transferable license to operate the Welder equipment at the Japan Kyoto facility for the duration of its useful life.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes common to the Japan Kyoto region), government trade restrictions, or pandemics. Affected parties must notify the other within 48 hours.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration in Tokyo, Japan, under the rules of the Japan Commercial Arbitration Service.
- Confidentiality: Both parties agree to maintain the terms of this Purchase Order, including pricing and technical specifications of the Welder equipment, as strictly confidential and shall not disclose them to third parties without prior written consent.
