This Purchase Order is issued for the procurement of a professional-grade Welder unit intended for heavy-duty industrial fabrication work at our primary manufacturing facility located in Kuwait Kuwait City. The Welder must meet or exceed the specifications outlined below and comply with all applicable Kuwaiti industrial safety standards (KBS) and International Electrotechnical Commission (IEC) regulations.

The supplier shall deliver all items specified in this Purchase Order to the following location: Al-Nakheel Industrial Supply Co. W.L.L., Plot 47, Block 2, Salmiya Industrial Area, Kuwait Kuwait City, State of Kuwait. Delivery must be completed no later than 28 June 2025. The Welder units and all associated accessories must arrive in their original factory packaging, free from transit damage. The supplier is responsible for all logistics, including freight from the Jebel Ali Free Zone to the designated site in Kuwait Kuwait City, as well as obtaining all necessary import permits and completing customs clearance with the Kuwaiti Public Authority for Civil Aviation and the Ministry of Commerce and Industry.

Upon arrival, the supplier's certified technician team shall perform full installation, electrical connection to the 3-phase 380V supply, and commissioning of each Welder unit. A minimum of two (2) full days of on-site operator training shall be conducted at the Kuwait Kuwait City facility, covering safe operation, routine maintenance, troubleshooting, and emergency shutdown procedures. All training materials and as-built documentation must be provided in both Arabic and English.

• 5.1 Payment shall be made in Kuwaiti Dinars (KWD) via bank transfer to the supplier's designated account within forty-five (45) calendar days from the date of the supplier's invoice, provided that all goods have been delivered, installed, and accepted in accordance with this Purchase Order.
• 5.2 A retention of ten percent (10%) of the total Purchase Order value shall be withheld until the completion of a thirty (30) day performance warranty period following the acceptance of the Welder units at the Kuwait Kuwait City site.
• 5.3 The supplier shall issue a tax invoice compliant with the Kuwaiti Zakat and Public Revenue Authority (ZPRA) regulations, including the applicable 5% Value Added Tax (VAT).
• 5.4 Late delivery beyond the stipulated date of 28 June 2025 shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, capped at 10% of the total value.
• 5.5 The supplier warrants that the Welder units are new, unused, of current production, and free from all defects in materials and workmanship for a period of five (5) years from the date of acceptance.

Upon delivery to the Kuwait Kuwait City facility, the buyer's quality assurance team shall conduct a joint inspection with the supplier's representative. Each Welder unit shall be tested under load for a minimum of four (4) continuous hours to verify output amperage, voltage stability, and thermal performance. Any unit that fails to meet the specifications stated in Section 3 of this Purchase Order shall be rejected and replaced at the supplier's sole cost within ten (10) business days. Formal written acceptance shall be issued only after all units have passed inspection and the operator training has been satisfactorily completed.

This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. Should negotiation fail within thirty (30) days, the dispute shall be referred to arbitration in Kuwait Kuwait City in accordance with the Kuwaiti Arbitration Law, and the decision of the arbitrator(s) shall be final and binding.

• 8.1 This Purchase Order constitutes the entire agreement between the parties with respect to the procurement of the Welder equipment described herein and supersedes all prior negotiations, representations, or agreements.
• 8.2 No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
• 8.3 The supplier shall maintain adequate insurance coverage for the Welder units during transit and installation at the Kuwait Kuwait City site.
• 8.4 The supplier shall comply with all applicable Kuwaiti labor, safety, and environmental regulations during the installation and training phases at the Kuwait Kuwait City facility.
• 8.5 This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
