All Welder units and associated equipment shall be delivered to the buyer's fabrication facility located at Malaysia Kuala Lumpur, specifically at the Selangor Industrial Fabrication Sdn. Bhd. workshop premises. The delivery address for this Purchase Order is: Lot 12, Jalan Industri 3, Taman Perindustrian UEP, 47600 Subang Jaya, adjacent to the Kuala Lumpur metropolitan industrial corridor. The supplier is responsible for all logistics, customs clearance at the Port of Klang, and final delivery to the designated site within Malaysia Kuala Lumpur.
Installation, commissioning, and operator training for each Welder unit shall be conducted on-site at the Malaysia Kuala Lumpur facility. The supplier's certified technician shall ensure that all twelve (12) Welder machines are calibrated, tested under load, and fully operational before the buyer signs the delivery acceptance certificate. Training sessions shall cover MIG, TIG, and ARC welding procedures, safety protocols specific to tropical industrial environments, and routine maintenance schedules.
5. Payment Terms- Advance Payment: 30% of the total Purchase Order value (MYR 44,855.52) shall be remitted via bank transfer within seven (7) business days of the supplier's acknowledgment of this Purchase Order.
- Delivery Payment: 50% of the total Purchase Order value (MYR 74,759.20) shall be payable within fourteen (14) business days following successful delivery, installation, and commissioning of all Welder units at the Malaysia Kuala Lumpur site.
- Retention Payment: The remaining 20% of the total Purchase Order value (MYR 29,903.68) shall be retained and released within sixty (60) days after the warranty acceptance period, provided no defects or non-conformances are identified in the Welder equipment.
- All payments shall be made in Malaysian Ringgit (MYR) to the supplier's designated bank account. The buyer reserves the right to withhold payment if the Welder units fail to meet the specifications outlined in this Purchase Order.
The supplier warrants that all Welder units supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance at the Malaysia Kuala Lumpur facility. During the warranty period, the supplier shall provide on-site repair or replacement of any defective Welder component within forty-eight (48) hours of a written defect notification. The supplier shall also provide a dedicated after-sales support hotline accessible during standard business hours in Malaysia Kuala Lumpur (Monday to Friday, 8:00 AM to 6:00 PM MYT) for the duration of the warranty.
7. Terms and Conditions- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
- The Welder equipment must comply with all applicable Malaysian standards, including SIRIM certification requirements, and must be suitable for continuous industrial use in the tropical climate conditions prevalent in Malaysia Kuala Lumpur.
- Delivery is expected no later than 30 July 2025. Failure to deliver the Welder units by the stipulated date shall entitle the buyer to a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- The supplier shall provide all necessary documentation, including certificates of origin, test reports, user manuals in English and Bahasa Malaysia, and electrical compliance certificates for the Welder units.
- Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or port closures affecting the Malaysia Kuala Lumpur region, shall be addressed through mutual consultation between the parties.
- Governing law for this Purchase Order shall be the laws of Malaysia. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kuala Lumpur in accordance with the rules of the Asian International Arbitration Centre (AIAC).
