All items listed under this Purchase Order shall be delivered to the Atlas Industrial Solutions SARL warehouse at Zone Franche, Hay Mohammadi, Morocco Casablanca 20250, Morocco. Delivery shall be made on a CIF (Cost, Insurance, and Freight) basis to the Port of Casablanca, with final overland transport to the buyer's facility arranged by the seller. The Welder units and all associated equipment must arrive no later than 30 August 2025. The seller is responsible for all customs clearance documentation, Moroccan import permits, and compliance with the Moroccan Directorate General of Customs and Indirect Taxes (DGDDI) regulations applicable to industrial welding equipment entering the Morocco Casablanca free trade zone.

The Welder unit must conform to the following standards: IEC 60974-1 (Welding equipment – General requirements), EN 60974-1, and the Moroccan standard NM 60974. The Welder shall operate on a 400V / 50Hz / 3-phase power supply, which is the standard industrial power configuration available at the Morocco Casablanca facility. The unit must carry CE marking and, where applicable, the Moroccan conformity mark. The seller shall provide a full technical data sheet, electrical single-line diagram, and a warranty certificate for each Welder unit delivered. A minimum 24-month warranty from the date of installation in Morocco Casablanca is required, covering all electronic components, transformers, and control boards.

• 30% advance payment (EUR 14,402.40) due within 10 business days of acceptance of this Purchase Order, via irrevocable letter of credit issued by Bank Al-Maghrib, Casablanca branch.
• 50% on shipment (EUR 24,004.00) payable against presentation of Bill of Lading, commercial invoice, packing list, and certificate of origin confirming export from Germany to Morocco Casablanca.
• 20% on acceptance (EUR 9,601.60) payable within 15 business days of successful installation, calibration, and sign-off of the Welder at the Morocco Casablanca site.
• All payments shall be made in Euros (EUR) to the seller's designated bank account. Late payments shall accrue interest at 1.5% per month.

• This Purchase Order constitutes a binding agreement upon written acceptance by both parties. Any amendments must be made in writing and signed by authorized representatives of both Atlas Industrial Solutions SARL and EuroWeld Technologies GmbH.
• The seller warrants that the Welder and all accessories are new, unused, and free from defects in materials and workmanship. Any Welder unit found to be non-conforming upon arrival in Morocco Casablanca shall be replaced at the seller's sole cost within 30 days.
• The seller shall provide a minimum of two (2) full days of on-site operator training at the Morocco Casablanca facility, covering safe operation, maintenance schedules, troubleshooting, and consumable handling for the Welder.
• Force majeure events, including but not limited to port strikes at the Port of Casablanca, shall extend delivery deadlines by the duration of the event, provided written notice is given within 48 hours.
• Disputes arising from this Purchase Order shall be resolved under the laws of the Kingdom of Morocco, with jurisdiction vested in the Commercial Court of Morocco Casablanca.
• The seller shall maintain adequate product liability insurance covering the Welder equipment for a minimum of EUR 2,000,000 throughout the warranty period.
