The Welder units and all associated accessories shall be delivered to the Buyer's primary manufacturing facility located at Herengracht 420, 1017 CA, Netherlands Amsterdam. Delivery is scheduled no later than 08 August 2025. The Seller is responsible for all transportation, insurance, and customs clearance costs up to the point of delivery at the Netherlands Amsterdam site. The Welder equipment must be packed in accordance with international shipping standards for sensitive electrical machinery. Upon arrival in Netherlands Amsterdam, the Buyer's receiving team will conduct a visual inspection and verify the quantity against this Purchase Order. Any discrepancies must be reported within 48 hours of delivery.
5. PAYMENT TERMS- 30% advance payment (EUR 16,639.92) due within 10 business days of acceptance of this Purchase Order.
- 60% balance (EUR 33,279.84) due within 30 days of confirmed delivery and successful commissioning of the Welder at the Netherlands Amsterdam facility.
- 10% retention (EUR 5,546.64) released 90 days after delivery, subject to satisfactory performance of the Welder under normal operating conditions.
- All payments shall be made via bank transfer to the Seller's designated account. Late payments shall incur interest at 1.5% per month.
- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon written acceptance by both parties.
- The Welder equipment is warranted for a period of 24 months from the date of commissioning at the Netherlands Amsterdam site. The warranty covers defects in materials and workmanship.
- The Seller guarantees that the Welder complies with all applicable European Union directives, including the Machinery Directive 2006/42/EC and the Low Voltage Directive 2014/35/EU.
- Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
- In the event of a dispute, the matter shall be resolved under the jurisdiction of the courts of Netherlands Amsterdam, in accordance with Dutch commercial law.
- The Seller shall provide a minimum of 5 business days' notice before shipping the Welder to the Netherlands Amsterdam delivery address.
- Force majeure events, including but not limited to natural disasters, strikes, or government-imposed restrictions, shall exempt the affected party from liability for delayed delivery of the Welder or other obligations under this Purchase Order.
- All intellectual property rights related to the Welder technology remain with the Seller. The Buyer is granted a non-exclusive license to operate the equipment for internal manufacturing purposes at the Netherlands Amsterdam facility.
