1. Description of Goods – Welder Equipment

This Purchase Order is issued by Apex Industrial Supply Company Ltd., a registered industrial procurement firm headquartered in Nigeria Lagos, for the acquisition of professional-grade Welder units intended for deployment across our fabrication and construction sites throughout the Nigeria Lagos metropolitan area and its surrounding industrial zones. The Welder equipment specified herein must comply with international safety standards (ISO 9001:2015, CE Marking) and must be suitable for the tropical and high-humidity operating conditions characteristic of the Nigeria Lagos coastal environment. All Welder units must be rated for continuous operation at ambient temperatures up to 45°C with relative humidity levels exceeding 80%, which are standard conditions in Nigeria Lagos during the rainy season.

3. Delivery and Logistics

The supplier shall deliver all Welder units and associated equipment to the port of Apapa, Nigeria Lagos, no later than 45 calendar days from the date of this Purchase Order. The supplier is responsible for all packaging, crating, and export documentation. Upon arrival at the Nigeria Lagos port, Apex Industrial Supply Company Ltd. shall coordinate customs clearance, inland transportation, and final delivery to the designated Apapa Industrial Estate warehouse. The Welder units must be packed in moisture-resistant, shock-absorbing crates to protect against the corrosive salt-air environment prevalent in Nigeria Lagos. Each crate must bear a waterproof label indicating the contents, serial numbers, and handling instructions.

4. Quality Assurance and Inspection

Before shipment, the supplier shall provide a Certificate of Conformity and a pre-shipment inspection report for every Welder unit. Upon arrival in Nigeria Lagos, Apex Industrial Supply Company Ltd. reserves the right to conduct a 72-hour operational test on a random sample of no fewer than 10% of the total Welder units delivered. Any Welder unit found to be defective, underperforming, or non-compliant with the specifications stated in this Purchase Order shall be replaced at the supplier's sole cost within 30 days. The supplier warrants all Welder equipment for a minimum period of 24 months from the date of delivery in Nigeria Lagos, covering all manufacturing defects in materials and workmanship.

5. Terms and Conditions

This Purchase Order constitutes a binding agreement between Apex Industrial Supply Company Ltd. (Nigeria Lagos) and Global Welding Equipment & Machinery Co., Ltd. upon countersignature by both parties.
All Welder equipment must carry valid CE and ISO certifications. Copies of these certificates must accompany the shipping documents.
The supplier shall provide comprehensive operation and maintenance manuals in English for each Welder model, along with a 2-year spare parts availability guarantee for the Nigeria Lagos market.
Payment shall be processed through First Bank of Nigeria, Lagos Branch, in accordance with the Central Bank of Nigeria (CBN) foreign exchange regulations applicable to imports into Nigeria Lagos.
Any delay in delivery beyond the stipulated 45-day window shall attract a penalty of 0.5% of the total Purchase Order value per calendar day, capped at 10% of the total value.
Disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the Lagos Court of Arbitration, Nigeria Lagos, in accordance with Nigerian commercial law.
The supplier acknowledges that the Welder equipment is intended for industrial fabrication, structural steel construction, and pipeline welding projects across the Nigeria Lagos region, and shall provide technical support and training for a minimum of 5 days upon delivery.
