- The Welder units must comply with IEC 60974-1 and IEC 60974-2 international standards for welding equipment safety and performance.
- All Welder machines shall carry CE marking and be certified for operation in high-temperature environments (ambient up to 50°C) consistent with the climate conditions in Saudi Arabia Jeddah.
- The Welder must be rated for continuous duty cycle of 60% at 450A and shall include thermal overload protection suitable for the demanding fabrication schedules at the Saudi Arabia Jeddah plant.
- Supplier shall provide a full test report, material certificates, and a 24-month warranty for each Welder unit from the date of commissioning in Saudi Arabia Jeddah.
- All documentation, user manuals, and safety data sheets must be provided in both English and Arabic to meet local regulatory requirements in Saudi Arabia Jeddah.
- Delivery shall be made DDP to the buyer's facility in Saudi Arabia Jeddah, King Abdulaziz Economic City, Industrial Zone 4. The seller bears all risk, freight, insurance, customs duties, and taxes until the Welder equipment is physically received and offloaded at the designated site in Saudi Arabia Jeddah.
- Shipping shall be via sea freight through Jeddah Islamic Port (JED) with an estimated transit time of 25–30 days from the German port of departure.
- The seller is responsible for all export packaging, crating, and labeling in accordance with Saudi Standards, Metrology and Quality Organization (SASO) requirements for the import of industrial Welder equipment into Saudi Arabia Jeddah.
- A pre-shipment inspection shall be conducted at the seller's facility in Germany, and the buyer's representative or a mutually agreed third-party inspector shall be present to verify the Welder units before dispatch.
- 30% advance payment (USD $45,504.00) shall be remitted via irrevocable Letter of Credit (LC) within 10 business days of the acceptance of this Purchase Order.
- 70% balance (USD $106,176.00) shall be payable within 15 business days following successful delivery, installation, and acceptance of the Welder fleet at the Saudi Arabia Jeddah site.
- All payments shall be made in US Dollars to the seller's designated bank account. The buyer's bank is Al Rajhi Bank, Jeddah Branch, Saudi Arabia.
- Any late delivery beyond the stipulated date of 05 August 2025 shall incur a penalty of 0.5% of the total Purchase Order value per week of delay, capped at 5% of the total value.
- This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes arising from the supply, delivery, or installation of the Welder equipment in Saudi Arabia Jeddah shall be resolved through arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA) in Jeddah.
- The seller warrants that the Welder equipment is new, unused, of first quality, and free from any defects in material or workmanship.
- Force majeure events, including but not limited to port closures at Jeddah Islamic Port, shall extend the delivery timeline by the duration of the event, provided written notice is given within 48 hours.
- This Purchase Order becomes effective upon written acceptance by both parties and remains valid until all obligations, including the 24-month warranty period for the Welder units, are fully discharged.
