Upon arrival at the Port of Senegal Dakar, the Supplier's appointed logistics agent shall coordinate customs clearance and arrange inland transportation to the final delivery point in Senegal Dakar. Installation, calibration, and a 48-hour operational test of the Welder at the Senegal Dakar site shall be performed by a certified technician dispatched by the Supplier at no additional cost to the Buyer, as stipulated in this Purchase Order.

Payment for this Purchase Order shall be made as follows: 40% ($19,100.00) as an advance payment upon execution of this Purchase Order; 40% ($19,100.00) upon confirmation of shipment and presentation of the Bill of Lading for the Welder consignment to Senegal Dakar; and the remaining 20% ($9,550.00) within 15 business days following successful installation, calibration, and acceptance of the Welder at the Senegal Dakar site. All payments shall be made via irrevocable Letter of Credit issued by a recognized bank in Senegal Dakar in favor of the Supplier. Currency of payment shall be United States Dollars (USD).

The Supplier warrants that the Welder delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of acceptance at the Senegal Dakar site. During the warranty period, the Supplier shall provide remote technical support and, where necessary, dispatch replacement parts to Senegal Dakar within ten (10) business days. The Supplier further commits to maintaining a spare parts inventory for the Welder model specified in this Purchase Order for a minimum of seven (7) years to ensure uninterrupted operation in Senegal Dakar. All warranty claims shall be submitted in writing to the Buyer's procurement department in Senegal Dakar.

7.1. This Purchase Order constitutes the entire agreement between the Buyer and the Supplier regarding the procurement of the Welder for use in Senegal Dakar and supersedes all prior negotiations, representations, or agreements.

7.2. The Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order related to the Welder delivery in Senegal Dakar shall be resolved by arbitration in Dakar, Senegal, in accordance with the rules of the ICC.

7.3. The Supplier shall comply with all applicable laws and regulations of the Republic of Senegal, including but not limited to import licensing requirements, occupational health and safety standards for Welder operations, and environmental regulations in force in Senegal Dakar.

7.4. Time is of the essence with respect to the delivery deadlines stated in this Purchase Order. Failure to deliver the Welder to Senegal Dakar by the specified date shall entitle the Buyer to liquidated damages of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.

7.5. The Buyer reserves the right to inspect the Welder and all accessories at the Supplier's facility prior to shipment and at the point of delivery in Senegal Dakar. Any non-conformity identified during inspection shall be rectified by the Supplier at its own expense.
