- This Purchase Order constitutes a binding agreement between Johannesburg Industrial Fabrication (Pty) Ltd (hereinafter referred to as the "Buyer") and TransWeld Equipment & Solutions (Pty) Ltd (hereinafter referred to as the "Supplier") for the supply of Welder equipment and associated accessories.
- All Welder units supplied under this Purchase Order must comply with South African National Standards (SANS) and the Occupational Health and Safety Act (Act 85 of 1993) as applicable in South Africa Johannesburg and the broader Gauteng Province.
- The Supplier shall deliver all items to the designated delivery location in Johannesburg, South Africa no later than the required delivery date stated in Section 2. Late delivery shall incur a penalty of 1% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
- All Welder equipment must be new, unused, and in original manufacturer packaging. The Supplier warrants that all items are free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery in South Africa Johannesburg.
- Payment shall be made via electronic funds transfer (EFT) to the Supplier's designated bank account within thirty (30) calendar days of receipt of a valid tax invoice. The Buyer reserves the right to withhold payment for any non-conforming Welder items until rectification is completed.
- The Supplier shall provide full installation, commissioning, and operator training for all Welder units at the Buyer's workshop in Sandton, Johannesburg, South Africa. Training shall cover safe operation, maintenance procedures, and troubleshooting specific to each Welder model.
- Any variation to this Purchase Order, including changes to the Welder specifications, quantities, or delivery schedule, must be agreed upon in writing by both parties prior to implementation.
- This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Johannesburg, South Africa.
- The Supplier shall provide a comprehensive warranty certificate for each Welder unit, along with all relevant technical documentation, user manuals, and safety data sheets in English and isiZulu, as required for the South Africa Johannesburg workforce.
- Force majeure events, including but not limited to load-shedding disruptions, natural disasters, or government-imposed restrictions in South Africa, shall not constitute a breach of this Purchase Order, provided the affected party notifies the other in writing within forty-eight (48) hours.
This Purchase Order for the supply of Welder equipment to our facility in Johannesburg, South Africa is hereby authorised and approved by the undersigned. The Supplier is requested to confirm acceptance of this Purchase Order in writing within five (5) business days of receipt.
