All Welder units and accessories listed in this Purchase Order shall be delivered to the following address in Spain Madrid: Iberia Industrial Solutions S.L., Calle de la Industria 42, Planta 3, 28045 Madrid, Spain. Delivery is scheduled no later than 22 August 2025. The supplier is responsible for all freight, customs clearance (if applicable within the EU), and on-site installation of the Welder equipment at the Spain Madrid facility. Installation must include electrical connection verification, calibration of each Welder unit, and a 4-hour operator training session conducted in Spanish for the on-site team in Spain Madrid.
Payment for this Purchase Order shall be made via bank transfer to the supplier's designated account. The payment schedule is as follows: 40% advance payment upon confirmation of this Purchase Order, 50% upon delivery and successful installation of the Welder equipment at the Spain Madrid site, and the remaining 10% within 30 days after final acceptance and completion of the operator training. All invoices must reference Purchase Order number PO-2025-00487 and be issued in euros (EUR).
- This Purchase Order constitutes a binding agreement between Iberia Industrial Solutions S.L. (Buyer) and EuroWeld Technologies GmbH (Supplier) for the supply of Welder equipment to be used in Spain Madrid.
- All Welder units must carry a minimum 24-month manufacturer's warranty from the date of installation in Spain Madrid. Warranty coverage includes parts, labour, and on-site service visits.
- The Supplier guarantees that all Welder equipment complies with Spanish occupational health and safety regulations (Ley 31/1995 de Prevención de Riesgos Laborales) and the specific technical standards required for industrial welding operations in the Madrid region.
- Delivery delays exceeding 10 business days beyond the agreed date will incur a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- The Buyer reserves the right to inspect and test each Welder unit upon arrival at the Spain Madrid facility. Any unit found defective or non-conforming to the specifications in this Purchase Order must be replaced within 15 business days at the Supplier's sole expense.
- All technical documentation, user manuals, and safety data sheets must be provided in both English and Spanish to ensure full compliance with local workforce requirements in Spain Madrid.
- This Purchase Order is governed by the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Madrid, Spain.
- The Supplier shall maintain adequate product liability insurance covering the Welder equipment during transit, installation, and the warranty period at the Spain Madrid site.
- Any amendments to this Purchase Order must be made in writing and signed by both parties. Verbal modifications are not valid.
