The Welder units and all associated accessories shall be delivered to the buyer's designated warehouse located at Industrial Zone, Omdurman, Sudan Khartoum, within 90 calendar days from the date of this Purchase Order. The supplier is responsible for all packaging, export documentation, ocean freight via the Port of Hamburg to the Port of Sudan, and subsequent inland transportation to the final delivery point in Sudan Khartoum. All Welder equipment must be crated in export-grade wooden containers with adequate shock and humidity protection to withstand the arid climate conditions prevalent in Sudan Khartoum during transit. The supplier shall provide a Bill of Lading, Certificate of Origin, Commercial Invoice, Packing List, and any additional documentation required by Sudanese customs authorities at the Port of Sudan.

Payment for this Purchase Order shall be made via irrevocable Letter of Credit (LC) issued by Bank of Khartoum, Sudan Khartoum branch, in favor of the supplier. The payment schedule is as follows:

  • 30% Advance Payment: USD 24,652.56 upon confirmation of this Purchase Order and issuance of the Letter of Credit.
  • 50% Against Shipment: USD 41,087.60 upon presentation of the Bill of Lading and shipping documents confirming the Welder units have been loaded at the port of origin.
  • 20% Upon Delivery & Acceptance: USD 16,435.04 within 15 business days after successful delivery, installation, and acceptance of the Welder equipment at the Sudan Khartoum site, confirmed by a signed Acceptance Certificate.

  1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All terms herein govern the procurement, delivery, and acceptance of the Welder equipment for use in Sudan Khartoum.
  2. The Seller warrants that the Welder units are new, unused, and free from any defects in material or workmanship. Any Welder unit found to be defective upon inspection at the Sudan Khartoum delivery site shall be replaced at the Seller's sole expense within 30 days.
  3. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port closures, sanctions, or political instability affecting the Republic of Sudan or the Sudan Khartoum region. However, the Seller must notify the Buyer in writing within 48 hours of any such event.
  4. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with the seat of arbitration in Geneva, Switzerland. The governing law shall be the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  5. The Seller shall provide a comprehensive operator training program for a minimum of 8 technicians at the Sudan Khartoum facility, lasting no fewer than 5 working days, covering safe operation, maintenance schedules, and troubleshooting of the Welder equipment.
  6. All intellectual property rights related to the Welder design and software remain with the Seller. The Buyer is granted a non-transferable license to operate the equipment at the Sudan Khartoum site.
  7. This Purchase Order may only be amended in writing, signed by authorized representatives of both parties. No verbal modifications shall be valid.

Upon arrival at the Sudan Khartoum delivery site, the Buyer's engineering team shall conduct a 72-hour inspection and functional test of each Welder unit. The inspection shall verify that the Welder operates correctly under the specified 380V/50Hz power supply, that all multi-process modes (MIG, MAG, TIG, ARC) function as described in the technical datasheet, and that all accessories listed in Item 02 are present and undamaged. A written Acceptance Certificate or Rejection Notice shall be issued to the Seller within 5 business days of the inspection. Failure to issue either document within this period shall constitute deemed acceptance of the Welder equipment.
