This Purchase Order is issued by Alpine Fabrication & Engineering AG, headquartered in Switzerland Zurich, for the procurement of a professional-grade Welder unit and associated consumables. This Purchase Order constitutes a binding agreement between the parties named above. The Welder equipment procured under this Purchase Order must comply with all regulatory frameworks enforced by the Swiss Federal Office for the Environment (FOEN) and the cantonal authorities of Switzerland Zurich.

The Supplier shall deliver all items listed in this Purchase Order to the Buyer's facility at Industriestrasse 42, 8005 Switzerland Zurich, no later than 30 July 2025. Delivery shall be made during standard business hours (08:00–17:00 CET) on weekdays. The Supplier is responsible for all transportation, insurance, and risk of loss until the Welder units and accessories are physically received and signed for by the Buyer's designated receiving officer at the Switzerland Zurich site.

Installation and calibration of the Welder systems shall be completed within five (5) business days following physical delivery. The Supplier's certified technicians shall perform all setup procedures in strict compliance with the electrical safety codes applicable in Switzerland Zurich (NIV 041) and the manufacturer's installation manual.

  • Payment shall be made in Swiss Francs (CHF) via bank transfer to the Supplier's account as stated on the accompanying invoice.
  • 30% advance payment (CHF 17,340.78) is due upon acceptance of this Purchase Order.
  • 60% balance (CHF 34,681.55) is due within 30 days of successful delivery, installation, and calibration of the Welder equipment at the Switzerland Zurich facility.
  • 10% retention (CHF 5,780.26) is due 90 days after delivery, subject to a satisfactory performance warranty period with no defects in the Welder units.
  • Late payments shall incur interest at the Swiss statutory rate (currently 5% per annum) as defined under Article 104 of the Swiss Code of Obligations.

The Supplier warrants that all Welder equipment supplied under this Purchase Order shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation at the Switzerland Zurich facility. During this warranty period, the Supplier shall repair or replace any defective Welder component at no additional cost to the Buyer, including labour and travel within the Switzerland Zurich region.

The Supplier further commits to providing a minimum of five (5) years of spare parts availability for the specified Welder model. Annual preventive maintenance contracts may be negotiated separately following the initial warranty period.

All Welder equipment procured under this Purchase Order must carry valid CE marking and comply with the Swiss Technical Regulations (TSV) and the cantonal occupational safety requirements of Switzerland Zurich. The Supplier shall provide, at the time of delivery, complete technical documentation including but not limited to: electrical schematics, operator manuals (in German and English), material safety data sheets (MSDS) for all consumables, and the Swiss conformity declaration. The Buyer reserves the right to reject any Welder unit or accessory that does not meet the specifications outlined in this Purchase Order or that fails to satisfy the regulatory standards enforced in Switzerland Zurich.

  • This Purchase Order is valid for acceptance within ten (10) calendar days of the issue date.
  • Any amendments to this Purchase Order must be made in writing and signed by both parties.
  • The governing law for this Purchase Order is the law of Switzerland, with exclusive jurisdiction vested in the courts of Switzerland Zurich.
  • Force majeure events, as defined under Swiss law, shall excuse timely performance but shall not void this Purchase Order.
  • Confidentiality: Both parties agree to treat all commercial terms of this Purchase Order as confidential.
