1. This Purchase Order constitutes a binding agreement between Al Noor Industrial Supply Co. LLC and Global Welding Solutions FZE upon written acceptance by both parties.
2. All Welder equipment supplied under this Purchase Order must comply with the International Electrotechnical Commission (IEC) 60974-1 standard and carry the relevant CE and UL certifications. Equipment must also meet the safety and quality requirements set by the Dubai Municipality and the United Arab Emirates Standards, Metrology and Quality Control Authority (ESMA).
3. The supplier warrants that all Welder units are new, unused, and free from defects in materials and workmanship for a period of 12 months from the date of commissioning in United Arab Emirates Dubai.
4. In the event of non-conforming goods, the supplier shall, at its own cost, replace or repair the defective Welder unit within 10 business days of written notice from the buyer.
5. Force majeure events, including but not limited to natural disasters, government sanctions, or port closures affecting United Arab Emirates Dubai, shall extend delivery timelines by a period equivalent to the duration of the event, provided written notice is given within 5 days.
6. Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC) in United Arab Emirates Dubai. The governing law shall be the laws of the United Arab Emirates.
7. The supplier shall maintain full product liability insurance covering all Welder equipment during transit and installation in United Arab Emirates Dubai.
