- Delivery: All items listed in this Purchase Order shall be delivered to the buyer's facility at 1450 Broadway, United States New York City, NY 10018, no later than July 15, 2025. The Welder units and all associated equipment must arrive in original factory packaging with no visible transit damage.
- Payment Terms: Net 30 days from the date of confirmed receipt and acceptance of all goods. Payment shall be made via wire transfer to the supplier's designated account. A 1.5% monthly late fee shall apply to any overdue balance.
- Warranty: The supplier warrants that the Welder unit (Item #1) and all mechanical components shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of installation. Consumables (Item #3) carry a 90-day quality guarantee.
- Compliance: The Welder and all ancillary equipment must comply with UL 258 (Welding Equipment) standards, OSHA 29 CFR 1910.252, and all applicable New York State and United States New York City municipal codes governing industrial equipment operation, electrical safety, and air quality in densely populated urban zones.
- Inspection & Acceptance: The buyer reserves the right to inspect all delivered goods within five (5) business days of arrival at the United States New York City facility. Any non-conforming items must be replaced or credited within ten (10) business days of written notice.
- Force Majeure: Neither party shall be liable for delays caused by acts of God, natural disasters, government-mandated shutdowns, or other events beyond reasonable control, provided written notice is given within 48 hours of the event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York. Any disputes arising hereunder shall be resolved in the state or federal courts located in New York County, United States New York City.
- Confidentiality: Both parties agree to maintain the terms, pricing, and technical specifications contained in this Purchase Order as confidential information, not to be disclosed to third parties without prior written consent.
