3.1 Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, all rates and allocations are subject to revision based on prevailing market conditions in China Shanghai and applicable regulatory changes.
3.2 Payment Schedule: Payment shall be structured as follows: 30% upon contract execution, 40% at the six-month project milestone, and 30% upon final deliverable acceptance. All payments shall be made in Chinese Yuan (CNY) via bank transfer to the designated account of SARA, Shanghai.
3.3 Academic Researcher Obligations: The engaged Academic Researcher shall maintain full compliance with the ethical standards set forth by the National Health Commission of China and the relevant university research integrity policies. All research data collected within Shanghai shall be stored on servers physically located within the People's Republic of China in accordance with the Cybersecurity Law and the Data Security Law of the PRC.
3.4 Intellectual Property: All intellectual property generated during the course of this engagement shall be jointly owned by the Client and SARA, unless otherwise stipulated in a separate Intellectual Property Agreement. The Academic Researcher retains the right to publish findings in peer-reviewed journals subject to a 30-day prior notification to the Client.
3.5 Regulatory Compliance in China Shanghai: The Client acknowledges that all research activities conducted in Shanghai, China, are subject to oversight by the Shanghai Municipal Science and Technology Commission. The Academic Researcher shall obtain all necessary work permits, residence permits, and research registrations prior to commencing fieldwork. SARA shall bear the cost of regulatory filings as itemized in Line 08 of this Quotation Estimate.
3.6 Cancellation and Termination: Either party may terminate the engagement with sixty (60) days written notice. In the event of early termination, the Client shall be liable for all costs incurred up to the date of termination, plus a 10% administrative processing fee.
3.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC).
By signing below, the Client acknowledges receipt of this Quotation Estimate for Academic Researcher services in China Shanghai and agrees to the terms, conditions, and financial obligations outlined herein. This document does not constitute a binding contract until a formal Service Agreement is executed by both parties.
