1. Purpose and Scope of This Quotation Estimate

This Quotation Estimate is issued by Beijing Meridian Accounting & Advisory Co., Ltd. to formally propose the engagement of a qualified Accountant to deliver comprehensive financial, tax, and compliance services to the client within the jurisdiction of China Beijing. The scope of work outlined herein has been tailored to meet the specific operational requirements of a foreign-invested enterprise operating in the capital region, ensuring full alignment with the regulations administered by the State Taxation Administration (STA), the Beijing Municipal Tax Bureau, and the National Audit Office of China.

The Accountant assigned under this Quotation Estimate will serve as the primary financial liaison for the client, managing all bookkeeping, statutory reporting, tax filings, and advisory engagements specific to the China Beijing regulatory environment. All services will be performed in accordance with the Chinese Accounting Standards (CAS) and International Financial Reporting Standards (IFRS) where applicable to the client's parent-entity reporting requirements.

3. Terms and Conditions Governing This Quotation Estimate

• This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Upon expiry, pricing and availability of the designated Accountant are subject to reconfirmation.
• All fees quoted are denominated in Chinese Yuan (CNY) and are payable within thirty (30) days of invoice issuance via bank transfer to the provider's account held with ICBC Beijing Financial Street Branch.
• The Accountant engaged under this agreement shall maintain professional indemnity insurance with a minimum coverage of CNY 5,000,000, as required by the Beijing Institute of Certified Public Accountants.
• Confidentiality: All financial data, trade secrets, and proprietary information of the client obtained during the course of services in China Beijing shall be treated as strictly confidential and shall not be disclosed to any third party without written consent, in compliance with the Personal Information Protection Law (PIPL) of the People's Republic of China.
• Any additional services beyond the scope defined in this Quotation Estimate shall be subject to a separate written amendment and additional fee schedule agreed upon by both parties.
• Governing law: This engagement shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in accordance with its then-current rules.
• The provider reserves the right to reassign the Accountant to a qualified successor of equivalent or higher credentials should the primary accountant become unavailable, provided the client receives no less than fourteen (14) days' prior written notice.

4. Acceptance and Authorization

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Beijing Meridian Accounting & Advisory Co., Ltd. to commence the engagement of the Accountant for the services described herein, effective from 1 August 2025, for the China Beijing operating entity.
