4.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issuance. After the expiration date, all rates and availability of the Actor may be subject to revision based on market conditions in Japan Tokyo's entertainment industry.
4.2 Payment Schedule: A deposit of 30% of the total Quotation Estimate amount is due upon contract execution. The remaining 70% shall be paid in two equal installments: 50% upon completion of principal photography and 50% upon final delivery of all post-production work. All payments are due within fourteen (14) business days of invoice issuance.
4.3 Actor Availability & Exclusivity: The Actor shall be exclusively engaged for the duration specified in this Quotation Estimate. No other commercial, theatrical, or film engagements within Japan Tokyo or internationally may be accepted without prior written consent from the client.
4.4 Working Hours & Overtime: Standard working hours for the Actor in Japan Tokyo shall not exceed ten (10) hours per day, inclusive of a one-hour meal break. Overtime beyond this limit shall be compensated at 1.5 times the daily rate as stipulated in this Quotation Estimate.
4.5 Cancellation Policy: Cancellation by the client more than sixty (60) days before the engagement start date incurs a 20% penalty. Cancellation between 30 and 60 days incurs a 50% penalty. Cancellation within 30 days of the start date is subject to 100% of the Quotation Estimate total.
4.6 Intellectual Property: All performances, recordings, and visual materials produced by the Actor during this engagement in Japan Tokyo shall become the exclusive property of the client upon full payment. The Actor retains moral rights as protected under Japanese Copyright Law (Act No. 48 of 1970).
4.7 Governing Law: This Quotation Estimate and any resulting contract shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Tokyo, Japan, under the rules of the Japan Commercial Arbitration Association.
4.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from natural disasters (including earthquakes and typhoons common to Japan Tokyo), government mandates, or other events beyond reasonable control.
By signing below, the client acknowledges and accepts all terms, rates, and conditions outlined in this Quotation Estimate for the Actor engagement in Japan Tokyo. This document, once countersigned by both parties, constitutes a binding agreement for the services described herein.
