1. This Quotation Estimate constitutes a formal offer for the engagement of the named Actor and is subject to the terms outlined herein. Acceptance of this Quotation Estimate shall be deemed a binding agreement between PrimeCast Talent Management Ltd. and the Client.
2. The Actor shall be available exclusively for the production described in this document for the duration of the engagement period in Nigeria Abuja. No concurrent professional commitments shall be permitted without prior written consent from the Client.
3. Payment terms: Fifty percent (50%) of the Grand Total shall be due as an advance payment upon signing of the production contract. The remaining fifty percent (50%) shall be payable within seven (7) working days following the completion of the final shooting day.
4. All payments shall be made via bank transfer to the account designated by PrimeCast Talent Management Ltd. in a Nigerian commercial bank domiciled in Abuja, FCT.
5. The Actor grants the Client full usage rights for all footage captured during the engagement period for a period of ten (10) years, subject to the terms of the separate usage agreement to be executed concurrently.
6. Force Majeure: Neither party shall be liable for delays or non-performance caused by events beyond reasonable control, including but not limited to government restrictions in Nigeria Abuja, natural disasters, or public health emergencies.
7. Disputes arising from this Quotation Estimate or the subsequent contract shall be resolved through arbitration in Abuja, FCT, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
8. This Quotation Estimate does not constitute a guarantee of the Actor's performance beyond the professional standards expected of a contracted performer. The Client reserves the right to request reasonable retakes within the agreed shooting schedule.
