3. The Aerospace Engineer shall maintain full professional indemnity insurance with a minimum coverage of EGP 10,000,000, valid throughout the engagement period in Egypt Cairo and all operational sites.
4. Intellectual property generated specifically for the Egyptian Aviation Authority under this contract shall vest in the Authority upon full payment. General methodologies and pre-existing tools of the Aerospace Engineer remain the property of Nile Aerospace Engineering Consultants.
5. Either party may terminate this engagement with sixty (60) days' written notice. In such an event, the Quotation Estimate shall be adjusted pro-rata for work completed up to the termination date.
6. All work shall be conducted in compliance with Egyptian labour law. The Aerospace Engineer is engaged as a specialist consultant and not as an employee of the Authority.
7. Disputes arising from this Quotation Estimate or the resulting contract shall be resolved through arbitration in Egypt Cairo under the rules of the Egyptian Arbitration Centre.
8. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, flight test results, and proprietary information exchanged during the course of this project.
