1. Validity: This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, rates and availability of the Aerospace Engineer may be subject to revision.
2. Payment Terms: Payment shall be made within thirty (30) days of invoice date. A 15% mobilisation advance is required upon contract signature. Subsequent invoices will be issued monthly based on days worked and deliverables completed.
3. Working Location: All on-site services will be performed at the client's designated facility in France Marseille. The Aerospace Engineer will adhere to all site safety protocols and access requirements established by Provence Aéro Industries SAS.
4. Intellectual Property: All technical reports, FEA models, aerodynamic datasets, and compliance documentation produced under this engagement shall become the exclusive property of the client upon full payment. AeroTech Consulting SARL retains the right to reference the project in anonymised portfolio materials.
5. Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary data, design specifications, and commercial information exchanged during the course of this project, in compliance with French data protection regulations (RGPD / GDPR).
6. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the France Marseille region.
7. Dispute Resolution: Any dispute arising from this Quotation Estimate or the resulting contract shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial courts of Marseille, France.
8. Subcontracting: AeroTech Consulting SARL reserves the right to engage specialist subcontractors for specific tasks (e.g., NDT testing) with prior written consent from the client. All subcontractor costs are included in the rates above.
Acceptance and AuthorisationBy signing below, the client acknowledges receipt of this Quotation Estimate and authorises AeroTech Consulting SARL to proceed with the engagement of the Aerospace Engineer as described herein. This document, once countersigned, constitutes a binding service agreement between both parties.
