1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, all prices are subject to revision based on prevailing market conditions in Brazil, Rio de Janeiro.
2. The Astronomer shall comply with all applicable Brazilian labor regulations, including the Consolidação das Leis do Trabalho (CLT), and shall maintain professional liability insurance with a minimum coverage of R$ 500.000,00.
3. All intellectual property generated during the course of this engagement shall be jointly owned by Celestial Sciences Consultancy Ltd. and the Universidade Federal do Rio de Janeiro, as stipulated in the final contract.
4. The Astronomer shall adhere to the ethical guidelines of the International Astronomical Union (IAU) and the Brazilian Academy of Sciences in all research activities conducted in Brazil, Rio de Janeiro.
5. Either party may terminate the contract with thirty (30) days’ written notice. In the event of early termination, a pro-rata settlement of all services rendered to date shall be applied.
6. This Quotation Estimate does not constitute a binding contract. A formal service agreement shall be executed by both parties prior to the commencement of any work.
7. All disputes arising from this engagement shall be resolved through arbitration in the city of Rio de Janeiro, RJ, Brazil, in accordance with the rules of the Câmara de Arbitragem da FIESP.
