Terms and Conditions

1. Validity: This Quotation Estimate is valid for a period of ninety (90) calendar days from the date of issue. After the expiration date, all rates and allocations listed herein are subject to revision without prior notice. The Astronomer's availability for the specified engagement period in Germany Berlin is guaranteed only upon written acceptance within the validity window.

2. Payment Terms: Payment shall be made in quarterly installments of 25% each, due within thirty (30) days of invoice issuance. The first installment is due upon contract execution. All payments shall be transferred to the bank account of Stellaris Academic Consulting GmbH, IBAN: DE89 3704 0044 0532 0130 00, BIC: COBADEFFXXX, located in Germany Berlin.

3. Scope Modifications: Any changes to the scope of the Astronomer's duties, the duration of the engagement, or the project location within Germany Berlin must be agreed upon in writing by both parties. Additional services beyond the scope defined in this Quotation Estimate will be billed at the prevailing hourly rate of €185.00 per hour, plus applicable VAT.

4. Intellectual Property: All data, publications, and research outputs generated by the Astronomer during the engagement period shall be jointly owned by the Client and Stellaris Academic Consulting GmbH, as stipulated in the separate Intellectual Property Agreement. The Astronomer retains the right to present findings at academic conferences in Germany Berlin and internationally.

5. Termination: Either party may terminate the engagement with a written notice period of sixty (60) days. In the event of early termination, the Client shall be liable for all costs incurred up to the termination date, including non-recoverable telescope time and HPC allocations in Germany Berlin.

6. Governing Law: This Quotation Estimate and any resulting contract shall be governed by and interpreted in accordance with the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
