Payment for the services outlined in this Quotation Estimate shall be made in four equal quarterly installments, due on the 1st of January, April, July, and October 2025. Each installment amount is ILS 213,816 (inclusive of VAT). Payment shall be made via bank transfer to the account designated by the Astronomer, registered under the Israel Tax Authority (Mashav) with the appropriate VAT identification number. Late payments shall accrue interest at the rate prescribed by the Israeli Interest and Taxation Law.
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates are subject to revision based on prevailing market conditions in Israel Tel Aviv.
- The Astronomer shall comply with all applicable Israeli laws, including the Israeli Higher Education Law, the Privacy Protection Law (5741-1981), and the regulations of the Israel Science Foundation (ISF) where applicable.
- All intellectual property generated during the engagement, including research data, publications, and software, shall be jointly owned by the Astronomer and the client institution, as stipulated in the separate Intellectual Property Agreement to be executed prior to commencement.
- The Astronomer reserves the right to decline any sub-task that conflicts with professional ethics or Israeli national security regulations, particularly those pertaining to astronomical data that may have dual-use implications.
- Travel and accommodation costs for conferences outside the Israel Tel Aviv metropolitan area (e.g., Jerusalem, Haifa, or international venues) shall be reimbursed at actual cost, subject to a monthly cap of ILS 15,000, with prior written approval from the client's project director.
- Either party may terminate this engagement with thirty (30) days' written notice. In the event of early termination, the client shall be liable for all services rendered up to the termination date plus a 10% administrative fee.
- All disputes arising from this Quotation Estimate shall be resolved through arbitration in Israel Tel Aviv in accordance with the Israeli Arbitration Law, 5728-1968, and the proceedings shall be conducted in Hebrew or English at the arbitrator's discretion.
- The Astronomer shall maintain a minimum of 40 hours per week of dedicated service to the client project, with the remaining time allocated to independent research and professional development.
By signing below, both parties acknowledge that they have read, understood, and agree to all terms set forth in this Quotation Estimate for Astronomer services to be delivered in Israel Tel Aviv. This document, once countersigned, constitutes a binding agreement between the parties.
