- Payment Schedule: 30% advance upon acceptance of this Quotation Estimate; 40% upon completion of the first 12-month period; 30% upon final delivery and acceptance of all deliverables. Payments shall be made via bank transfer to the account specified in the attached invoice, in accordance with Spanish commercial law (Ley de Facturación).
- Acceptance: This Quotation Estimate shall be deemed accepted upon written signature by an authorised representative of the commissioning institution. No services shall commence prior to receipt of the advance payment.
- Intellectual Property: All observational data, reduced spectra, and derived astrophysical models generated during the engagement shall be jointly owned by the Astronomer and the commissioning institution, with publication rights governed by a separate IP agreement to be executed prior to commencement.
- Force Majeure: Delays caused by adverse weather conditions affecting astronomical visibility, equipment failure at observatory facilities, or government-mandated closures in Spain Madrid shall not constitute breach of contract. Affected timelines shall be extended proportionally.
- Confidentiality: The Astronomer agrees to maintain strict confidentiality regarding unpublished data, internal university communications, and any proprietary methodologies shared during the engagement, in compliance with the Spanish General Data Protection Regulation (RGPD) and the EU GDPR.
- Dispute Resolution: Any dispute arising from this Quotation Estimate shall be resolved through mediation in Madrid, Spain, in accordance with the provisions of the Spanish Civil Code. Jurisdiction is exclusively vested in the courts of Madrid.
- Insurance: The Astronomer shall maintain professional liability insurance with a minimum coverage of 500,000 EUR, valid throughout the duration of the contract and within the territory of Spain.
