- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Any acceptance beyond this period may be subject to revised pricing due to fluctuations in equipment costs and travel expenses within the United Kingdom Birmingham area.
- All services described herein shall be performed by the named Astronomer, Dr. Eleanor Ashworth, or by a suitably qualified substitute Astronomer of equivalent standing approved in writing by the client. No service shall be subcontracted without prior written consent.
- Payment terms: 30% deposit upon acceptance of this Quotation Estimate, 40% upon completion of the Astronomical Heritage Report and observation deck installation, and the remaining 30% upon final project sign-off at the conclusion of the twelve-month engagement.
- All invoices shall be payable within thirty (30) days of the invoice date. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 applicable in the United Kingdom.
- The Astronomer shall comply with all applicable United Kingdom health and safety regulations, including the Management of Health and Safety at Work Regulations 1999, during all on-site activities in Birmingham and the surrounding West Midlands region.
- Intellectual property: All reports, star charts, educational materials, and written analyses produced by the Astronomer under this Quotation Estimate shall become the property of Birmingham City Council upon full payment. The Astronomer retains the right to reference the project in professional portfolios and academic publications.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to severe weather conditions that prevent astronomical observations, government-imposed restrictions, or acts of God affecting the Birmingham, United Kingdom area.
- Disputes arising from this Quotation Estimate shall be resolved through mediation in Birmingham, United Kingdom, in accordance with the rules of the Centre for Effective Dispute Resolution (CEDR). If mediation fails, the matter shall be subject to the exclusive jurisdiction of the courts of England and Wales.
- This Quotation Estimate constitutes the entire agreement between the parties regarding the Astronomer's services and supersedes all prior negotiations, representations, or understandings, whether written or oral.
By signing below, the client acknowledges and accepts this Quotation Estimate in full, authorising the engagement of the named Astronomer for the services described herein in the United Kingdom Birmingham region under the terms and conditions set out above.
