The Auditor engagement covers the fiscal year 2024–2025 and includes all activities required under Italian Legislative Decree 39/2010 (Codice della Crisi d'Impresa e dell'Insolvenza) and the applicable provisions of the Italian Civil Code (Codice Civile, Articles 1409–1490).

5.1 Validity: This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. After the expiry date, all rates and fees are subject to revision based on prevailing market conditions in Italy Milan.
5.2 Payment Terms: Payment shall be made in three (3) equal instalments: 40% upon signing of the engagement letter, 40% upon completion of fieldwork in Milan, and 20% upon delivery of the final Auditor's report and management letter. All payments are due within thirty (30) days of invoice date via bank transfer to the firm's account at Intesa Sanpaolo, Milan branch.
5.3 Auditor Independence: The Auditor shall maintain full professional independence in accordance with the ethical standards set by the Italian National Council of Statutory Auditors (Consiglio Nazionale dei Revisori Legali) and the International Ethics Standards Board for Accountants (IESBA) Code of Ethics. No non-audit services that could impair independence shall be provided during the engagement period.
5.4 Confidentiality: All financial data, business records, and proprietary information accessed by the Auditor during the course of this engagement in Italy Milan shall be treated as strictly confidential and shall not be disclosed to any third party without the prior written consent of the client, except as required by Italian law or regulatory authorities.
5.5 Liability: The Auditor's liability under this Quotation Estimate shall be limited to the total fees payable under this engagement, in accordance with Article 2397 of the Italian Civil Code. The Auditor shall maintain professional indemnity insurance with a minimum coverage of €5,000,000.
5.6 Governing Law: This Quotation Estimate and the resulting engagement shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be subject to the exclusive jurisdiction of the courts of Milan (Tribunale di Milano), Italy.
5.7 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting the Italy Milan region.
