1. Purpose of This Quotation Estimate

This Quotation Estimate is issued by Meridian Audit & Assurance (Pty) Ltd, a registered audit firm operating in South Africa Cape Town, in response to the formal request from Atlantic Coastal Logistics (Pty) Ltd for independent Auditor services for the financial year ending 30 June 2025. This document sets out the scope of work, professional fees, disbursements, and all applicable terms governing the engagement. All fees quoted are exclusive of Value Added Tax (VAT) at the prevailing rate of 15% as prescribed by the South African Revenue Service (SARS) for the South Africa Cape Town jurisdiction.

2. Scope of Auditor Services

The Auditor engagement encompasses the following professional services, performed in accordance with the International Standards on Auditing (ISA) as adopted by the Independent Regulatory Board for Auditors (IRBA) of South Africa:

Planning and risk assessment of the financial statements of Atlantic Coastal Logistics (Pty) Ltd for the year ended 30 June 2025, including identification of material misstatement risks specific to the logistics and freight industry in the South Africa Cape Town region.
Substantive testing of all material account balances, including inventory valuation at the V&A Waterfront warehouse, accounts receivable confirmations, and cash bank reconciliations across all operating accounts.
Review and testing of internal controls over financial reporting, with particular attention to procurement-to-pay and revenue-to-cash cycles.
Verification of compliance with the Companies Act 71 of 2008, the Income Tax Act 58 of 1962, and all applicable local municipal by-laws governing business operations in Cape Town, Western Cape.
Assessment of going concern assumptions and preparation of the independent Auditor’s report in the format prescribed by the IRBA and the South African Institute of Chartered Accountants (SAICA).
Attendance at the Annual General Meeting (AGM) of the company to present the Auditor’s findings and answer shareholder queries, scheduled to take place in South Africa Cape Town.
Provision of a management letter detailing observations, recommendations, and areas for improvement in internal governance and financial reporting processes.

4. Terms and Conditions

4.1 This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Should the client wish to proceed after the expiry date, the Auditor reserves the right to revise the fees to reflect current market rates and resource availability in South Africa Cape Town.

4.2 Payment terms: 40% of the total fee is due upon acceptance of this Quotation Estimate and execution of the engagement letter. The remaining 60% shall be invoiced in two equal monthly instalments during the engagement period, payable within fourteen (14) days of invoice date.

4.3 The Auditor shall maintain strict independence and objectivity in accordance with the IRBA Code of Professional Conduct. Any conflict of interest that may arise during the engagement in the South Africa Cape Town market shall be disclosed immediately to the client’s Audit Committee.

4.4 The client agrees to provide timely access to all books of account, supporting documentation, physical assets, and personnel necessary for the Auditor to perform the engagement without undue delay. Failure to provide such access may result in additional fees and/or a qualified Auditor’s report.

4.5 All work performed under this Quotation Estimate shall be governed by the laws of the Republic of South Africa. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the High Court of South Africa, Cape Town Division.

4.6 The Auditor shall not be liable for any consequential loss, indirect damages, or loss of profit arising from the services rendered, except in cases of gross negligence or wilful misconduct.

4.7 This Quotation Estimate does not constitute a binding contract until a formal engagement letter, incorporating the terms herein, has been signed by both parties.

5. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the scope, fees, and terms set out herein for the provision of Auditor services in South Africa Cape Town.
