This Quotation Estimate is issued by Zurich Audit & Advisory AG to provide Alpine Manufacturing GmbH with a comprehensive, itemised cost proposal for the engagement of a qualified Auditor to perform statutory financial statement audits, internal control reviews, and related advisory services within the jurisdiction of Switzerland Zurich. - Validity: This Quotation Estimate shall remain valid for a period of ninety (90) calendar days from the date of issue. Beyond this period, rates and availability of the Auditor team may be subject to revision.
- Payment Terms: Invoices shall be issued monthly in arrears. Payment is due within thirty (30) days of invoice date via bank transfer to the account of Zurich Audit & Advisory AG, UBS AG, Zurich (IBAN: CH93 0023 0456 7800 3890 7). Late payments shall accrue interest at the Swiss National Bank reference rate plus 2% per annum.
- Confidentiality: The Auditor and all team members shall adhere to strict confidentiality obligations in accordance with Swiss data protection law (DSG/FADP) and professional ethical standards. All client data processed in Switzerland Zurich shall be stored on Swiss soil.
- Professional Independence: The Auditor confirms full independence and objectivity as required by the Swiss Audit Act (ReA) and the FSAO regulations. No non-audit services that would impair independence shall be provided without prior written consent.
- Liability: The Auditor's liability under this engagement is limited to the total fees specified in this Quotation Estimate, in accordance with Swiss law. Professional indemnity insurance is maintained with a coverage of CHF 5,000,000 per claim.
- Termination: Either party may terminate the engagement with thirty (30) days' written notice. In the event of early termination, fees for work already performed by the Auditor shall be invoiced and are non-refundable.
- Governing Law: This Quotation Estimate and the resulting engagement shall be governed by and construed in accordance with the laws of Switzerland. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Zurich, Switzerland.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government mandates affecting operations in Switzerland Zurich.
By signing below, both parties acknowledge that this Quotation Estimate accurately reflects the agreed scope of Auditor services, the associated costs, and the terms governing the professional engagement in Switzerland Zurich. This signature converts this Quotation Estimate into a binding service agreement effective from the date of the last signature.
