5.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, fees may be adjusted to reflect changes in the BCV exchange rate or market conditions in Venezuela.
5.2 Payment terms: 40% advance upon contract signing, 40% upon completion of fieldwork, and 20% upon delivery of the final Auditor's Report. Payments shall be made in USD via wire transfer to the firm's account at a Venezuelan commercial bank authorized by the Banco Central de Venezuela (BCV).
5.3 The Auditor and all engagement team members shall maintain strict confidentiality in accordance with the Venezuelan Ley de Protección de Datos Personales and the professional code of ethics of the ICPA. A Non-Disclosure Agreement (NDA) shall be executed prior to the commencement of fieldwork.
5.4 The client agrees to provide timely access to all financial records, ledgers, bank statements, tax filings, and supporting documentation located in Caracas. Delays in document provision may extend the timeline and incur additional fees at the rate specified in Line Item 1.
5.5 This Quotation Estimate is non-binding until a formal Professional Services Contract is executed by both parties. The Auditor engagement shall be governed by the laws of the Bolivarian Republic of Venezuela, and any disputes shall be resolved through arbitration in Caracas under the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
5.6 The Auditor's opinion and report are intended solely for the use of the client's management, board of directors, and Venezuelan regulatory authorities. No third party may rely upon the Auditor's Report without prior written consent from Meridian Audit & Advisory Group, C.A.
