1. Purpose of This Quotation Estimate

This Quotation Estimate is issued by Harare Professional Audit & Advisory Services (Pvt) Ltd to Mvume Holdings (Pvt) Ltd in relation to the engagement of a qualified Auditor to perform a full statutory annual audit of the company's financial statements for the financial year ending 31 December 2025. This Quotation Estimate outlines the scope of work, professional fees, disbursements, and all applicable terms governing the engagement of the Auditor within the jurisdiction of Zimbabwe Harare. All fees are quoted in United States Dollars (USD) in accordance with the Reserve Bank of Zimbabwe (RBZ) dual-currency framework and prevailing market rates in Zimbabwe Harare.

2. Scope of Auditor Services

The Auditor shall perform the following services in full compliance with International Standards on Auditing (ISA), the Companies and Other Business Entities Act [Chapter 24:31] of Zimbabwe, and the regulatory requirements of the Zimbabwe Institute of Chartered Accountants (ZICA):

Planning and risk assessment of the audit engagement for Mvume Holdings (Pvt) Ltd, including identification of materiality thresholds relevant to the Zimbabwe Harare operating environment.
Substantive testing of all financial statement line items, including revenue, receivables, inventory, payables, fixed assets, and equity.
Review of internal controls and issuance of a management letter highlighting deficiencies and recommendations.
Verification of compliance with Zimbabwean tax obligations, including Value Added Tax (VAT), Pay-As-You-Earn (PAYE), and Corporate Income Tax filings with ZIMRA.
Preparation and issuance of the Auditor's Report in accordance with ISA 700, to be filed with the Companies and Intellectual Property Commission (CIPC) of Zimbabwe.
Attendance at the Annual General Meeting (AGM) in Zimbabwe Harare to present the Auditor's findings to shareholders.
Advisory support on IFRS compliance and financial reporting standards applicable in Zimbabwe Harare.

6. Terms and Conditions of This Quotation Estimate

This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, the Auditor reserves the right to revise fees to reflect changes in the Zimbabwe Harare economic environment, exchange rate fluctuations, or resource availability.
Payment terms: Fifty percent (50%) of the total Quotation Estimate amount shall be due upon acceptance and signing of the engagement letter. The remaining fifty percent (50%) shall be payable within fourteen (14) days of the issuance of the final Auditor's Report.
All payments shall be made in United States Dollars (USD) via bank transfer to the firm's designated account at Stanbic Bank Zimbabwe, Harare Branch, in accordance with RBZ foreign exchange regulations.
The Auditor shall maintain strict confidentiality of all client information in compliance with the Access to Information Act [Chapter 10:27] of Zimbabwe and ZICA's Code of Professional Conduct.
The Auditor shall not be held liable for any losses arising from the client's failure to provide complete and accurate records, documents, or access to personnel in a timely manner.
This Quotation Estimate does not constitute a binding contract until a formal engagement letter is executed by both parties. The engagement letter shall incorporate all terms set forth in this Quotation Estimate.
Any disputes arising from this engagement shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.
The Auditor shall comply with all anti-money laundering (AML) and counter-terrorist financing (CTF) regulations as enforced by the Financial Intelligence Unit (FIU) of Zimbabwe.
Additional services beyond the scope outlined in Section 2 shall be subject to a separate Quotation Estimate and written approval by the client.

7. Acceptance

By signing below, the client acknowledges receipt of this Quotation Estimate and agrees to the terms and conditions set forth herein for the engagement of the Auditor in Zimbabwe Harare.
