3. Terms and Conditions
- This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision based on market conditions, material costs, and availability of the designated Automotive Engineer.
- All services described herein will be performed in accordance with the professional standards established by the Ordre des ingénieurs du Québec (OIQ) and applicable Canadian federal and provincial regulations governing automotive engineering practice in Canada Montreal.
- Payment terms: 30% upon execution of the service agreement, 40% upon completion of the design and simulation phase (Month 6), and 30% upon final delivery and acceptance of all deliverables. Invoices are payable within thirty (30) days of receipt.
- The Automotive Engineer shall maintain full professional liability insurance with a minimum coverage of CAD $2,000,000 per occurrence throughout the engagement period.
- All intellectual property, design files, simulation data, and documentation produced under this Quotation Estimate shall become the exclusive property of NovaDrive Automotive Systems Ltd. upon full payment.
- Any changes to the scope of work must be documented in a formal Change Order signed by both parties before additional work commences. Revised costs will be appended as a supplementary Quotation Estimate.
- This agreement is governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Canada Montreal prior to litigation.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information exchanged during the course of this engagement, in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
4. Acceptance and Authorization
By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Precision Automotive Engineering Inc. to proceed with the engagement of the Automotive Engineer for the services described herein, under the terms and conditions stated above.
