This Quotation Estimate stipulates the following milestone-based payment structure for the Automotive Engineer engagement in China Guangzhou:

1. This Quotation Estimate is valid for a period of thirty (30) calendar days from the date of issue. Beyond this period, all rates and availability of the designated Automotive Engineer are subject to re-evaluation.
2. All services shall be rendered by a qualified Automotive Engineer holding a minimum of fifteen (15) years of experience in powertrain development, with specific expertise in electric and hybrid vehicle architectures as practiced in the China Guangzhou automotive manufacturing ecosystem.

4. Intellectual property generated during the engagement shall be jointly owned as per the separate Non-Disclosure and IP Agreement (NDA-IP-2025-091) to be executed concurrently with this Quotation Estimate.
5. Any change in scope, additional site visits beyond the China Guangzhou metropolitan area, or extended engagement beyond the 27-week timeline shall be subject to a formal Change Order and supplementary Quotation Estimate.
6. Payment terms are Net 15 days from the date of invoice issuance. Late payments shall accrue interest at 0.05% per calendar day in accordance with Chinese commercial practice.
7. This Quotation Estimate does not constitute a binding contract until countersigned by both parties and the advance payment has been received in full.
8. Disputes arising from this Quotation Estimate or the subsequent service agreement shall be resolved through arbitration at the China International Economic and Trade Arbitration Commission (CIETAC), Guangzhou Sub-Commission.
