1. This Quotation Estimate is structured with the following payment schedule to ensure mutual financial transparency between our firm and the client:
30% advance payment upon signed acceptance of this Quotation Estimate (CNY 935,460).
40% milestone payment upon completion of the 6-month interim engineering deliverables (CNY 1,247,280).
30% final payment upon project closure, final documentation handover, and successful CCC certification in China Shanghai (CNY 935,460).
All payments shall be made via bank transfer to our corporate account at Bank of China, Pudong Branch, China Shanghai. Applicable Value Added Tax (VAT) at 6% for engineering services shall be added to the above amounts as per Chinese tax regulations.
4. Terms and Conditions4.1 This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision due to market fluctuations in China Shanghai.
4.2 All Automotive Engineer personnel assigned under this engagement shall hold a minimum of a Bachelor's degree in Automotive Engineering, Mechanical Engineering, or a closely related discipline, with a minimum of five (5) years of relevant industry experience.
4.3 The Automotive Engineer team shall operate in strict compliance with all applicable laws and regulations of the People's Republic of China, including but not limited to the Labor Law of the PRC, the Data Security Law, and the Cybersecurity Law, as enforced in China Shanghai.
4.4 Intellectual Property (IP) generated during the course of this engagement shall be jointly owned by both parties unless otherwise specified in a separate IP agreement. All technical documentation, CAD models, and simulation data produced by the Automotive Engineer team shall be delivered in formats mutually agreed upon by both parties.
4.5 Any scope changes, additional engineering tasks, or extended timelines beyond the parameters outlined in this Quotation Estimate shall be subject to a formal Change Order, signed by both parties, with a revised cost estimate provided within five (5) business days.
4.6 Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information, design data, and commercial details exchanged during the engagement. This obligation shall survive the termination of this Quotation Estimate for a period of three (3) years.
4.7 Dispute Resolution: Any disputes arising from this Quotation Estimate shall be resolved through amicable negotiation. Should negotiation fail, the matter shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for binding arbitration under its rules.
4.8 Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Shanghai, or international trade restrictions.
5. Acceptance and AuthorizationBy signing below, both parties acknowledge and accept the terms, conditions, and pricing outlined in this Quotation Estimate for the engagement of the Automotive Engineer team in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
