Meridian Automotive Consulting GmbH proposes to deploy a senior Automotive Engineer with a minimum of twelve (12) years of professional experience in powertrain calibration, vehicle dynamics simulation, and emissions compliance testing. The Automotive Engineer will be based at the client's development centre in Germany Frankfurt and will report directly to the project lead assigned by Daimler Engineering Solutions AG.

The scope of work for this Quotation Estimate encompasses the following deliverables:

• Design and validation of next-generation hybrid powertrain control strategies for the 2027 model year vehicle platform.
• Conduct of NVH (Noise, Vibration, and Harshness) analysis using AVL CRUISE and MATLAB/Simulink toolchains.
• Preparation of technical documentation in accordance with ISO 26262 functional safety standards and EU Regulation 2018/858 type-approval requirements.
• On-site testing and data acquisition at the client's proving ground facility in Germany Frankfurt and the adjacent Sinsheim test track.

Payment for this Quotation Estimate shall be made in monthly instalments, invoiced in arrears on the last working day of each calendar month. A final settlement invoice will be issued upon completion of the knowledge transfer workshop and acceptance of all deliverables by the client's project lead. Late payments shall accrue interest at the statutory rate under § 288 of the German Civil Code (BGB).

1. This Quotation Estimate is valid for a period of ninety (90) days from the date of issue. Beyond this period, all rates and availability of the proposed Automotive Engineer resources are subject to reconfirmation.
2. All work performed under this engagement shall be carried out in strict compliance with applicable German and European automotive regulations, including but not limited to EU Type-Approval Directive 2007/46/EC (as amended) and the German Road Traffic Licensing Regulation (StVZO).
3. The Automotive Engineer personnel assigned to this project shall be subject to the client's site safety protocols and confidentiality agreements in force at the Germany Frankfurt facility. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of any work.
4. Intellectual property developed specifically for the client under this contract shall vest in Daimler Engineering Solutions AG upon full payment. Pre-existing IP of Meridian Automotive Consulting GmbH remains the property of the consultant.
5. Either party may terminate this engagement with a written notice period of sixty (60) days. In the event of early termination, all services rendered up to the effective date of termination shall be invoiced in full.
6. Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting operations in Germany Frankfurt or the broader Hesse region, shall suspend obligations under this agreement without penalty to either party.
7. This Quotation Estimate and any subsequent contract shall be governed by the laws of the Federal Republic of Germany. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main.
8. All communications regarding this Quotation Estimate shall be directed to the undersigned project coordinator at Meridian Automotive Consulting GmbH, Frankfurt am Main.

By signing below, the client acknowledges receipt of this Quotation Estimate and authorizes Meridian Automotive Consulting GmbH to proceed with the engagement of the specified Automotive Engineer resources for the project to be executed in Germany Frankfurt, subject to the terms and conditions outlined herein.
