1. This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After the expiry date, all rates and terms are subject to revision.
2. All prices are quoted in Iranian Rial (IRR) with an approximate USD equivalent provided for reference only. The binding currency for all transactions is IRR, payable via bank transfer to the account designated by Persian Automotive Engineering Solutions Co., Ltd.
3. The Automotive Engineer assigned to this project shall work full-time at the client's facility located in Iran Tehran, Kahrizak Industrial District, unless otherwise agreed in writing.
4. Any change in scope, additional engineering tasks, or extended timelines beyond the 13.5-month project duration will be subject to a supplementary Quotation Estimate issued separately.
5. The client is responsible for providing all necessary workshop access, test vehicles, raw materials, and safety equipment at the Iran Tehran site. The Automotive Engineer shall not be liable for delays caused by client-side resource unavailability.
6. Intellectual property generated during the course of this engagement shall be jointly owned by both parties, with the client retaining exclusive manufacturing rights for the specific vehicle platform developed in Iran Tehran.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, design files, and commercial information exchanged under this Quotation Estimate. This obligation survives for five (5) years post-project completion.
8. Governing Law: This Quotation Estimate and any resulting contract shall be governed by the Civil Code of the Islamic Republic of Iran. Disputes shall be resolved through arbitration at the Tehran International Arbitration Center.
9. Force Majeure: Neither party shall be held liable for delays or non-performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting the Iran Tehran region, or pandemics.
