Payment for this Quotation Estimate shall be made in West African CFA Francs (XOF) via bank transfer to the account of Sahel Automotive Engineering Ltd. at Ecobank, Abidjan, Ivory Coast. The payment schedule is as follows:
- 30% advance payment upon signing of the service agreement (approximately 20,638,200 XOF).
- Monthly invoices for the Automotive Engineer professional fee, reporting, travel, and call-out services, payable within 30 days of invoice date.
- Diagnostic equipment procurement (Item 02) payable in two installments: 50% upon order placement and 50% upon delivery and commissioning in Abidjan.
- Training sessions (Item 03) payable within 15 days following completion of each session.
- Annual audit (Item 07) payable within 30 days of submission of the final audit report.
5.1 Validity: This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. After this period, pricing may be revised to reflect changes in the Ivory Coast Abidjan market, exchange rate fluctuations, or supplier cost adjustments.
5.2 Scope Changes: Any modification to the scope of the Automotive Engineer's duties beyond what is described in this Quotation Estimate shall require a written amendment signed by both parties. Additional services will be quoted separately.
5.3 Confidentiality: The Automotive Engineer shall treat all client data, fleet records, and operational information as strictly confidential. This obligation survives the termination of the contract by a period of two (2) years.
5.4 Insurance and Liability: Sahel Automotive Engineering Ltd. maintains professional indemnity insurance and third-party liability coverage as required by Ivorian law. The Automotive Engineer shall not be held liable for vehicle damage resulting from pre-existing mechanical failures not identified during scheduled diagnostics.
5.5 Termination: Either party may terminate this engagement with sixty (60) days' written notice. In the event of early termination, the client shall pay for all services rendered up to the termination date plus any non-cancellable commitments (e.g., equipment already ordered).
5.6 Governing Law: This Quotation Estimate and the resulting service agreement shall be governed by the laws of the Republic of Côte d'Ivoire. Any disputes shall be resolved through the competent courts of Abidjan, Ivory Coast.
5.7 Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or port closures affecting the Abidjan port operations.
