1. Scope of Work – Automotive Engineer Services in Japan KyotoThis Quotation Estimate outlines the comprehensive professional services to be delivered by our senior Automotive Engineer team to support Tanaka Precision Manufacturing K.K. in the design, prototyping, testing, and validation of next-generation powertrain and chassis components. All engineering activities will be conducted primarily at our dedicated facility in Japan Kyoto, with on-site visits to the client's manufacturing plant in Nakagyo-ku as required. The scope encompasses mechanical design, thermal analysis, materials selection, regulatory compliance for Japanese automotive standards (JASO, JIS), and full documentation in both Japanese and English.

- This Quotation Estimate is valid for thirty (30) calendar days from the date of issue. Beyond this period, pricing may be subject to revision due to fluctuating material costs or labor market conditions in Japan Kyoto.
- All Automotive Engineer personnel assigned to this project will hold valid Japanese work permits and possess a minimum of eight (8) years of relevant experience in automotive powertrain, chassis, or ECU development.
- Payment terms: 30% advance payment upon contract execution, 40% upon completion of prototype validation (Q1 2026), and 30% upon final project delivery and acceptance in June 2026. Invoices shall be issued in Japanese Yen (JPY) and settled via bank transfer to our account at Mizuho Bank, Kyoto Higashiyama Branch.
- All intellectual property generated during the engagement shall be jointly owned by both parties unless otherwise specified in a separate IP agreement. Technical drawings and simulation data produced in Japan Kyoto shall be stored on encrypted servers located within Japan.
- Any scope changes exceeding 10% of the original Quotation Estimate value must be approved in writing by both parties before additional work commences. A revised Quotation Estimate will be issued for any such amendments.
- Confidentiality: All data, designs, and proprietary information exchanged between the parties are subject to a mutual Non-Disclosure Agreement (NDA) to be executed concurrently with this contract.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes common to the Japan Kyoto region), government mandates, or other events beyond reasonable control.
- Governing Law: This agreement shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration at the Japan Commercial Arbitration Association (JCAA) in Kyoto.
By signing below, both parties acknowledge and agree to the terms, scope, and pricing outlined in this Quotation Estimate for the Automotive Engineer services to be performed in Japan Kyoto. This document constitutes a binding commercial proposal upon countersignature.
